ATTACHMENT 1 <br /> ❑ Certificate of Insurance <br /> o Professional Liability <br /> PROFESSIONAL SERVICES AGREEMENT <br /> THIS PROFESSIONAL SERVICES AGREEMENT ("Agreement") is entered into <br /> this 1St day of January, 2019 between the CITY OF PLEASANTON, a municipal corporation <br /> ("City"),and JEDA, INC., a wholly owned subsidiary of Industrial Employers and Distributors <br /> Association,a non-profit corporation,whose address is 2200 Powell Street Ste. 100, Emeryville, <br /> CA 94608. ("Consultant"). <br /> RECITALS <br /> A. IEDA is qualified to and experienced in providing, employee-employer <br /> relations and collective bargaining services for the purposes specified in this <br /> Agreement. <br /> B. City finds it necessary and advisable to use the services of the Consultant for <br /> the purposes provided in this Agreement. It is necessary and desirable that the <br /> City obtain these services of qualified persons to consult with and advise the <br /> City Manager or his/her designated representative in employee-employer <br /> relations, and in researching for and developing proposals and strategies for <br /> meeting and conferring in good faith with representatives of the recognized <br /> employee organizations. <br /> NOW THEREFORE, in consideration of the mutual covenants and conditions in this <br /> Agreement, City and Consultant agree as follows: <br /> 1. Consultant's Services. Subject to the terms and conditions set forth in this Agreement, <br /> IEDA, Inc. shall assign qualified persons to provide the following services to the City of <br /> Pleasanton: <br /> I. Advise and consult with the City Manager of the City as such times and places mutually <br /> agreed upon by IEDA, Inc., and the City Manager on all matters relating to employment <br /> conditions and employer-employee relations. <br /> II. Research, analyze, and develop proposals and strategy for the collective bargaining <br /> process with designated representatives of the City Manager, at such times and places to <br /> be mutually agreed upon by the City Manager and IEDA, Inc. <br /> III. Report to the City Manager, and other entity as required by the City Manager, on the <br /> progress of meeting and conferring in good faith with the recognized employee <br /> organizations. <br /> 1 ' Page <br />
