District Agreement No. 04-265 5 <br /> made a part of this AGREEMENT. CITY will also perform any and all required <br /> maintenance on the installed TRASH CAPTURE PROJECT. <br /> 6. PARTIES have determined that the total cost of constructing TRASH CAPTURE <br /> PROJECT and performing any and all required maintenance on the installed TRASH <br /> CAPTURE PROJECT is $300,000. <br /> 7. The terms of this AGREEMENT shall supersede any inconsistent terms of any prior <br /> Memorandum of Understanding(MOU) or agreement relating to TRASH CAPTURE <br /> PROJECT. <br /> 8. PARTIES now define herein below the terms and conditions under which this <br /> AGREEMENT shall be implemented. <br /> SECTION I <br /> CITY AGREES: <br /> 1. All work performed by CITY, or performed on CITY's behalf, shall be performed in <br /> accordance with all state and federal laws, regulations,policies,procedures, and <br /> standards. <br /> 2. To implement TRASH CAPTURE PROJECT as described in Exhibit B, attached hereto <br /> and made a part of this AGREEMENT. <br /> 3. To perform all necessary maintenance as described in Exhibit B on the completed <br /> TRASH CAPTURE PROJECT facilities, currently within the CITY's public service <br /> easement. Thereafter, TRASH CAPTURE PROJECT facilities shall be retained as part of <br /> CITY's inventory'. <br /> 4. To ensure that after TRASH CAPTURE PROJECT is constructed,the installed facilities <br /> shall be maintained, operated, and managed to all applicable CITY standards. <br /> 5. To submit one invoice to CALTRANS within thirty (30)calendar days of execution of <br /> this AGREEMENT in the amount of$300,000,which represents the total cost for work <br /> performed pursuant to this AGREEMENT and CALTRANS' total financial obligation as <br /> set forth in this AGREEMENT. The invoice submitted shall not exceed$300,000. Said <br /> invoice shall meet format and content requirements specified by CALTRANS and shall <br /> be submitted to the CALTRANS Project Manager for approval and forwarding to the <br /> appropriate Accounting Office for payment. <br /> 6. To deposit any of CALTRANS' funds that are not utilized to construct PROJECT and/or <br /> to manage hazardous material found within the TRASH CAPTURE PROJECT limits, as <br /> provided in Section III, Article 7 of this AGREEMENT, into an interest bearing account <br /> 'The final CDS unit installed may be of a different model than the one shown in Exhibit B but shall meet or <br /> exceed the same treatment requirements. <br /> Page 2 of 13 <br />
