FIRST AMENDMENT TO AGREEMENT This First Amendment to Agreement("First Amendment")is entered into this 1st day of July 2018 by the City of Pleasanton("City")and Tree Sculpture Group,Inc.("Contractor"). Whereas,on January 1,2018,the City and Contractor entered into a Maintenance and Trade Services Agreement for landscape maintenance services for Lighting and Landscape Maintenance Districts 1984-1 (Ponderosa-Del Prado), 1993-1 (Windsor), 1993-2(Bonde Ranch), 1994-1 (Oak Tree Farm),and 1995-1 (Moller Ranch)(the"Agreement");and Whereas,the parties agree that compensation should be increased for inflation as allowed by the Agreement; Whereas,the parties agree that Basic Maintenance work shall be reduced for 1993-1 (Windsor) and 1993-2(Bonde Ranch);and Whereas,the parties desire to amend the Agreement for an additional one year term, Now,therefore,in exchange for valuable consideration,the receipt of which is hereby acknowledged the parties agree as follows: 1. The Contract Renewal Option in the Agreement is exercised and the term of the Agreement is extended for one(1)additional year to June 30,2019. 2. Section 1 of the Agreement,"Compensation"is amended to read: a. Exhibit A—"Scope of Work",page 3,shall be amended as indicated in the attached Exhibit A. b. The annual compensation for weed abatement is increasing 3.3%(The Engineering News Record Construction Cost Index for San Francisco,average from January through April 2018). The work performed will be as specified in the Scope of Work.The fees for such additional work shall be based on the Contractors Fee Schedule;attached as Exhibit B.A proposal and written Notice to Proceed issued by the City shall be required prior to commencing any such additional work. c. The annual compensation for General Benefit Maintenance for 1984-1 (Ponderosa-Del Prado)is increasing 3.3%. d. The annual compensation for Basic Maintenance for 1984-1 (Ponderosa-Del Prado), 1994-1 (Oak Tree Farm),and 1995-1 (Moller Ranch)is increasing 3.3%. e. The Extra Work for 1984-1 (Ponderosa), 1994-1 (Oak Tree Farm),and 1995-1 (Moller Ranch)has been increased to accommodate forecasted improvements.
