n i l rtl,nlvlGiN 11 ❑ Exhibits A&B Cl Certificate of Insurance o Professional Liability o W-9 AS-NEEDED SURVEY AND COMPUTER DRAFTING SERVICES AGREEMENT This As-Needed Survey and Computer Drafting Services Agreement("Agreement") is entered into June 5, 2018 between Ruggeri-Jensen-Azar("Contractor") a California Corporation, whose address is 4690 Chabot Drive, #200, Pleasanton, CA 94588 and the City of Pleasanton, a municipal corporation ("City"). RECITALS A. Contractor is qualified and experienced in providing Survey and Computer Drafting services as forth in Exhibit A of this Agreement. B. City finds it necessary and advisable to obtain engineering services from Contractor on an as-needed basis. NOW, THEREFORE, in consideration of the mutual covenants and conditions in this Agreement, City and Contractor agree as follows: 1. Services to be Performed. Contractor shall perform, or cause to be performed, the type of services described in Exhibit A. This Agreement does not obligate the City to utilize Contractor exclusively for the kind of services set forth in Exhibit A. The City reserves the right to select other contractors for these services as the City desires. When requested by the City, Contractor will submit a written estimate detailing the cost to perform the requested services. If the Contractor's estimate is agreeable to the City,the City shall issue a Work Authorization Letter detailing the services to be performed and setting forth the compensation to be paid to Contractor. Work Authorization Letters shall be signed by the City and the Contractor prior to commencement of the services and thereafter shall be incorporated into this Agreement as Exhibit B. 2. Term. The term of this Agreement commences on the date written above and will expire three years thereafter unless the parties agree to extend the Agreement for an additional one year, with up to two (2) such one year extensions. If City desires to extend the Agreement, it shall notify the Contractor in writing, and the parties shall execute a written extension. Extensions shall be subject to compensation adjustments as described in Section 3, below. 3. Compensation. Compensation for an individual Work Authorization shall not exceed $100,000. Total compensation under this Agreement for all Work Authorization Letters issued in the initial three years of this Agreement shall not exceed $500,000. Payment shall be made within thirty (30) days of receipt of Contractor's invoice and approval by City. Compensation shall be based on the time and materials proposals set forth in Exhibit A, as calculated for the specific requested services set forth in the Work Authorization Letter.
