ATTACHMENT #1 <br /> MAINTENANCE SERVICES AGREEMENT <br /> THIS AGREEMENT is made and entered into this 1st day of March 2018 between <br /> New Image Landscape Company ("Contractor"), whose address is 3250 Darby Common, Fremont, CA <br /> 94539, and the CITY OF PLEASANTON, a municipal corporation("City"). <br /> RECITALS <br /> A. Contractor is qualified and experienced in providing the work or services set forth in Exhibit A of <br /> this Agreement. <br /> B. City finds it necessary and advisable to obtain services from Contractor for Turfgrass Mowing and <br /> Edging services. <br /> NOW THEREFORE, in consideration of the mutual covenants and conditions in this Agreement, <br /> City and Contractor agree as follows: <br /> 1. Term. The term of this Agreement commences on the date written above and will expire three <br /> (3) years from that date on February 28, 2021, unless the parties agree to extend the Agreement <br /> for an additional two-year term. If the parties agree that the terms will continue,the base amount <br /> is increased annually based on the percentage change in the Consumer Price Index for All Urban <br /> Consumer/All Items/ San Francisco—Oakland-San Jose with October 2017 the base month,the <br /> only items that will be subject to negotiation are the following: <br /> a. Additional items of work; and <br /> b. New mowing and/or edging sites. <br /> 2. Services to be performed. Contractor will perform, or cause to be performed, the work or <br /> services described in Exhibit A. This Agreement does not obligate the City to utilize Contractor <br /> exclusively for such work or services. <br /> All work authorizations outlined in this agreement will need to be approved by Parks <br /> Superintendent of Operations Services. <br /> 3. Compensation. The maximum total amount of the contract for the three-year term ending <br /> February 28, 2021 is $522,918. This maximum contract amount is based on an estimate of 45 <br /> mowing and edging cycles per year; however, Contractor will be paid based on the per cycle of <br /> mowing and edging rate outlined in Exhibit B for the work performed. The City does not <br /> guarantee any quantity of work. <br /> a. Payment will be made within thirty (30) days of receipt of Contractor's invoice and approval <br /> by City. <br /> b. If the prevailing wage for crafts or classifications subject to this Agreement change during <br /> the term of this Agreement, the City will accept corresponding increases when sufficient <br /> Standard Service Agreement <br /> Page 1 of 6 <br />
