ATTACHMENT 1 FIRST AMENDMENT TO AGREEMENT This First Amendment to Agreement("First Amendment") is entered into this day of January, 2018 by the City of Pleasanton ("City")and Dyett& Bhatia("Consultant"). A. On November 15, 2016,the City and Consultant entered into a Professional Services Agreement for planning services related to the Downtown Specific Plan Update ("Agreement"); and B. Additional services beyond the original scope and budget are required; and C. The parties desire to amend to the Agreement to provide for such additional services and commensurate increased compensation. Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1. Section 1 of the Agreement, "Consultant's Services" is amended to add: Consultant also shall diligently perform the services and furnish and materials, reports, drawings, and related materials described in Exhibit"A-1", Additional Scope of Work, attached and incorporated to the extent consistent with this Agreement. 2. The first paragraph of Section 4 of the Agreement, "Compensation" is amended to read: For services to be rendered as described in Exhibit"A"the City shall pay consultant$239,000, as described more particularly in Exhibit"B", which is attached and incorporated to the extent consistent with this Agreement. For the additional services to be rendered as described in "Exhibit A-1" the City shall pay consultant $230,595, with a contingency fund of a potential additional $27,671 as described in Exhibit"A-1". 3. All other terms and conditions of the Agreement shall remain in full force and effect.
