EXERCISE OF 5-YEAR EXTENSION OPTION FOR PROFESSIONAL SERVICES THIS 5-YEAR EXTENSION is made and entered into this_day of 2017, by and between the City of Pleasanton ('City"), a municipal corporation, and The Alameda County Fire Department ("ACFD"), a dependent fire district. RECITALS On July 1, 2012, City and ACFD entered in to an agreement for ACFD to provide professional emergency dispatch and regional communications through the Alameda County Regional Emergency Communications Center services to City ("Original Agreement"). Section Two of the Original Agreement contains an option to extend it for an additional five year term. City and ACFD desire to extend the Original Agreement for an additional term from July 1, 2017 to June 30, 2022. This is the first extension to the Original Agreement. AGREEMENT NOW, THEREFORE, City and ACFD agree that the aforementioned recitals are true and correct and further agree as follows: 1. The term of the Original Agreement is extended for an additional five year term commencing July 1, 2017 and ending June 30, 2022. 2. The Services and hourly-rates or task-amounts set forth in Section 11 of the Original Agreement are the same for the term of this extension. The total compensation payable by City to ACFD for the Services during the term of this extension SHALL NOT EXCEED the sum of$316,000 per year ("not-to-exceed amount"). 3. This is the final extension option allowed by Section 2 of the Original Agreement. 4. This extension does not relieve the parties of the terms and conditions of the Original Agreement as written and in effect at the time the Services were rendered. 5. Except as amended above, the Original Agreement shall remain in full force and effect. In concurrence and witness whereof, and in recognition of the mutual consideration provided therefore, the parties have executed this agreement, effective on the date first written above.
