FRAMEWORK <br /> This Framework is entered into by the City of Pleasanton, a municipal corporation ("City"), Irby Ranch <br /> LLC.,a California limited liability company("Developer"), and Sunflower Hill,a California public benefit <br /> corporation ("SFH"),collectively the Parties. <br /> RECITALS <br /> WHEREAS,the purpose of this Framework is to clarify expectations and obligations related to <br /> the redevelopment of the Irby Ranch. <br /> WHEREAS,the Irby Ranch is approximately 15 acre site commonly known as 3988 First Street, <br /> 3780 Stanley Blvd., and 3878 Stanley Blvd., Pleasanton,CA,which is comprised of separate lots owned <br /> by ACHF Kaplan LP,Zia Corporation,The Irby Family LLC. <br /> WHEREAS,the Developer has submitted a development application to the City for Irby Ranch,which <br /> includes within the site an area for the associated proposed future Sunflower Hill project. <br /> NOW,THEREFORE,the Parties agree as follows <br /> 1. Developer's Residential Project. Developer commits to constructing an 87 residential unit project <br /> and the associated amenities per the plans reviewed and approved by the City during the public <br /> hearing process, including all identified off-site improvements. <br /> 2. Affordable Housing Site for SFH. <br /> a. Unless modified by the City Council, Developer commits to assigning 1.64 acres of land for <br /> SFH (as shown on Attachment A); <br /> b. Developer commits to transfer title of the affordable housing site to the City as early as the <br /> completion of the first phase of the residential development project(which is likely the <br /> earliest the site could comply with Section 2.c., below), but not later than the final phase of <br /> development;and <br /> c. Developer commits to provide a fully-prepared development site for SFH, including a site <br /> that is: <br /> i. Graded and hydroseeded; <br /> ii. Served by all necessary utilities,stubbed at the property line;and <br /> iii. Curb and gutter around the site. <br /> 3. Affordable Housing Contribution by Developer. Developer will contribute$1 million to the City's <br /> Affordable Housing Fund. <br /> 4. Future SFH Development Project. SFH's future application will be governed by the following <br /> parameters*: <br />
