Attachment 1 <br /> SECOND AMENDMENT <br /> This amendment("Amendment") is made this day of 2015 by and between Tyler <br /> Technologies, Inc.,with offices at 1 Tyler Drive, Yarmouth,Maine 04096("Tyler") and the City of Pleasanton, with <br /> offices at 123 Main Street, Pleasanton,California 94566 ("Client"). <br /> WHEREAS, Tyler and the Client are parties to a Professional Services Agreement(the, "PSA") and Tyler <br /> Technologies License and Services Agreement, including referenced exhibits(the"Tyler Agreement"), dated June 2, <br /> 2015 (collectively,the"Agreement"); and <br /> WHEREAS, Tyler and Client desire to amend the Agreement; <br /> NOW THEREFORE, in consideration of the mutual promises hereinafter contained,Tyler and the Client agree as <br /> follows: <br /> 1. The products and services in the attached sales quotation are hereby added to Exhibit A of the Tyler <br /> Agreement. Payment for such items shall conform to the following: <br /> a. License Fees: <br /> i. Seventy-five percent(75%)($55,087.50)shall be invoiced when Tyler makes the Utility <br /> Billing Module available for download; and <br /> ii. Twenty-five percent (25%)($18,362.50)shall be invoiced ninety(90) days after the Available <br /> Download Date. <br /> b. Year One Maintenance Fees, prorated for the time period commencing when such software is made <br /> available to the Client for download and ending coincident with the current annual maintenance term <br /> for the Tyler Software licensed to the Client under the Agreement at its execution, are waived. <br /> Subsequent annual maintenance fees will be invoiced in accord with Section 1.2 of Exhibit B of the <br /> Tyler Agreement. <br /> c. Professional Services Fees shall be invoiced in accord with Section 2 of Exhibit B of the Tyler <br /> Agreement. <br /> 2. This Amendment shall be governed by and construed in accordance with the terms and conditions of the <br /> Agreement. <br /> 3.
