ATTACHMENT 1 <br /> PROFESSIONAL SERVICES AGREEMENT <br /> This Professional Services Agreement ("Agreement") is entered into this 16th day <br /> of July, 2014, between the City of Pleasanton, a municipal corporation ("City"), and <br /> Environmental Science Associates ("ESA"), a California corporation, whose address is <br /> 550 Kearny Street, Suite 800, San Francisco, CA 94108, and telephone number is <br /> (415) 896-5900 ("Consultant"). <br /> RECITALS <br /> A. Consultant is qualified and experienced in preparing an Environmental Impact <br /> Report (EIR) pursuant to the California Environmental Quality Act (CEQA) for the <br /> Johnson Drive Economic Development Zone for the purposes specified in this <br /> Agreement. <br /> B. City finds it necessary and advisable to use the services of Consultant for the <br /> preparation of an EIR pursuant to CEQA for the Johnson Drive Economic Development <br /> Zone that involves a General Plan Amendment and Planned Unit Development (PUD) <br /> Rezoning for up to eleven parcels along Johnson Drive, Pleasanton. <br /> NOW, THEREFORE, in consideration of the mutual covenants and conditions in <br /> this Agreement, City and Consultant agree as follows: <br /> 1. Consultant's Services. Consultant shall diligently perform the services <br /> and furnish the materials, reports, drawings, and materials related to the preparation of <br /> an EIR pursuant to CEQA for the Johnson Drive Economic Development Zone that <br /> involves a General Plan Amendment and Planned Unit Development (PUD) Rezoning <br /> for up to eleven parcels along Johnson Drive, Pleasanton, as described in Exhibit A, <br /> Scope of Work, attached and incorporated to the extent consistent with this Agreement. <br /> 2. City Assistance, Facilities, Equipment, and Clerical Support. Except as <br /> set forth in Exhibit A, Scope of Work, Consultant shall, at its sole cost and expense, <br /> furnish all facilities and equipment that may be required for furnishing services pursuant <br /> to this Agreement. <br /> 3. Terms. Time is of the essence. Consultant shall begin work on July 16, <br /> 2014. The work as described in Exhibit A, Scope of Work, shall be completed within the <br /> timeframe specified therein, or on a later date as mutually determined by City and <br /> Consultant. <br /> 4. Compensation. For the services to be rendered, City shall pay Consultant <br /> for services rendered, based on an hourly rate, as described more particularly <br /> in Exhibit A to the extent consistent with the Agreement. Payment shall be made on a <br /> monthly basis upon City's receipt and approval of Consultant's invoice. Total <br /> compensation for services and reimbursement for costs shall not exceed One Hundred <br /> Page 1 of 6 <br />
