Liability and Comprehensive Automobile Liability insurance to be <br /> maintained by such contractors and agents pursuant to this subsection shall name as additional <br /> insureds the City, the Council, officers, agents, and employees. <br /> (c) General Requirements. The required insurance shall be provided under an <br /> occurrence form, and the Developer shall maintain such coverage continuously throughout the <br /> Term. Should any of the required insurance be provided under a form of coverage that provides <br /> that claims investigation or legal defense costs be included in such annual aggregate limit, such <br /> annual aggregate limit shall be three times the occurrence limits specified above. Upon the <br /> execution of the City Ground Lease, in the event of any conflict between this Agreement and the <br /> City Ground Lease regarding insurance, the provisions of the City Ground Lease shall control. <br /> Comprehensive General Liability, Comprehensive Automobile Liability and <br /> Property insurance policies shall be endorsed to name as additional insureds the City and Council <br /> members, officers, agents, and employees. <br /> All policies and bonds shall be endorsed to provide thirty(30) days'prior written <br /> notice of cancellation, reduction in coverage, or intent not to renew to the address established for <br /> notices to the City pursuant to Section 2.4. <br /> (d) Certificates of Insurance. Upon the City's request at any time during the <br /> term of this Agreement, the Developer shall provide certificates of insurance, in form and with <br /> insurers reasonable acceptable to the City. <br /> Section 10.6 Audits. The Developer shall make available for examination at reasonable <br /> intervals and during normal business hours to the City all books, accounts, reports, files, and <br /> other papers or property with respect to all matters covered by this Agreement, and shall permit <br /> the City to audit, examine, and make excerpts or transcripts from such records. <br /> ARTICLE 11. <br /> ASSIGNMENT AND TRANSFERS <br /> Section 11.1 Definitions. As used in this Article, the term "Transfer" means: <br /> (a) Any total or partial sale, assignment or conveyance, or any trust or power, <br /> or any transfer in any other mode or form, of or with respect to this Agreement or of the <br /> Development or any part thereof or any interest therein or any contract or agreement to do any of <br /> the same; or <br /> (b) Any total or partial sale, assignment or conveyance, or any trust or power, <br /> or any transfer in any other mode or form, of or with respect to any ownership interest in <br /> Developer or any contract or agreement to do any of the same; or <br /> (c) Any merger, consolidation, sale or lease of all or substantially all of the <br /> assets of the Developer; or <br /> 25 <br /> 191\52\1242198 13 <br />
