or will vary significantly from the line item costs shown on the Financing Plan or the Project <br /> Budget. <br /> ARTICLE 10. <br /> USE AND OPERATION <br /> Section 10.1 Affordable Senior Housing. Developer hereby covenants and agrees, for <br /> itself and its successors and assigns, to maintain the Site during the term of the Ground Lease <br /> only as rental housing to which 49% of all units other than the two (2) Management Unit are <br /> restricted to seniors earning between 30% and 60% of Area Median Income in Alameda County, <br /> all as more fully described in the Ground Lease. For the existing residents who will receive <br /> rental assistance through the Project-Based Vouchers, rents will continue to be 30% of their <br /> household income. <br /> Section 10.2 Management Agent. The Development shall at all times be managed by <br /> MidPen Property Management Corporation, subject to City's approval as required by the City <br /> Ground Lease. <br /> Section 10.3 Approval of Management Plan Modifications. The Developer shall <br /> submit the written Management Plan for the Development to the City for its review and approval <br /> no later than six (6) months after commencement of construction of the Development pursuant to <br /> the Schedule of Performance. Each year thereafter, within sixty(60) days of the end of the <br /> Developer's Fiscal Year, the Developer shall submit to the City any proposed changes to the <br /> Management Plan. The City shall approve or disapprove the proposed changes to the <br /> Management Plan in writing within fifteen (15) calendar days following the City's receipt of the <br /> request to amend the Management Plan, which approval shall not be unreasonably denied. If the <br /> change to the Management Plan is disapproved by the City, the City shall deliver a written notice <br /> to the Developer setting forth, in reasonable detail, the reasons for such disapproval. The <br /> Developer shall have fifteen (15) calendar days following the receipt of such notice to submit a <br /> revised Management Plan modification in any way necessary to ensure that such policies comply <br /> with the provisions of this Agreement. The City's approval of the amendments to the <br /> Management Plan shall not be unreasonably withheld. <br /> Section 10.4 Resident Services Agent. <br /> (a) Resident Services Agent. The Development shall at all times deliver <br /> comprehensive resident services provided by MidPen Resident Services Corporation, as was pre- <br /> approved by the City(the "Resident Services"). The Developer shall submit a Resident Services <br /> Plan to the City for review within the time set forth in the Schedule of Performance. The <br /> Resident Services Plan shall include services specifically targeted to seniors and shall describe <br /> how coordination with other services in the vicinity and other service providers will be handled. <br /> (b) Identifying Service Delivery Gaps in the City. The Resident Services <br /> Agent shall conduct a thorough community assessment to ensure the services provided on-site <br /> are complimentary to those already offered in the City <br /> 23 <br /> 191A52V1242198.13 <br />
