(b) "Agreement" shall mean this Disposition, Development and Loan <br /> Agreement. <br /> (c) "AHP Loan" shall mean an Affordable Housing Program Loan from a <br /> Federal Home Loan Bank member institution. <br /> (d) "Board of Directors" shall have the meaning ascribed in Section 2.4, <br /> subsection(b). <br /> (e) "CEQA" shall mean the California Environmental Quality Act, Public <br /> Resources Code Section 21000 et seq., as amended. <br /> (r) "City" shall mean the City of Pleasanton, a municipal corporation, located <br /> at 123 Main Street, Pleasanton, CA 94566. <br /> (g) "City Construction Loan" shall mean the loan by City to Developer from <br /> the City's Lower Income Housing Fund as further described in Section 6.2, to assist Developer <br /> with construction of the Site. <br /> (h) "City Deed of Trust" shall mean that certain Deed of Trust with <br /> Assignment of Rents to secure the City Note. <br /> (i) "City Loan" shall mean the loan by City to Developer from the City's <br /> Lower Income Housing Fund as further described in Sections 5.2 and 6.3, to assist Developer <br /> with predevelopment and construction costs of the Development, the amount of which is the sum <br /> of the City Predevelopment Loan and the City Construction Loan. The City Loan shall also be a <br /> permanent funding source for the Development. <br /> (j) "City Predevelopment Loan" shall mean the loan by City to Developer <br /> from the City's Lower Income Housing Fund as further described in Section 6.1, to assist <br /> Developer with predevelopment costs of the Site. <br /> (k) "City Predevelopment Note" shall mean that certain promissory note, a <br /> form of which will be mutually negotiated by the Parties, in favor of City, evidencing the City <br /> Predevelopment Loan. <br /> (1) "City Note" shall mean that certain promissory note, a form of which will <br /> be mutually negotiated by the Parties, evidencing the City Loan. <br /> (m) "City Ground Lease(s)" shall have the meaning ascribed in Section 8.1. <br /> (n) "Closing" shall have the meaning ascribed in Section 8.4. <br /> (o) "Closing Date" shall have the meaning ascribed in Section 8.4. <br /> (p) "Community Development Department" shall mean the City of Pleasanton <br /> Community Development Department. <br /> 4 <br /> 191152\1242198 13 <br />
