Contract Number <br /> 6. Terms. Consultant shall begin work September 1, 2013. The term of this <br /> Agreement shall expire on August 31, 2015 unless renewed as provided here in. The work as <br /> described in Exhibit A, Scope of Work, shall be completed by deadlines for specific projects as <br /> established by the parties. City and Contractor shall retain the right to renew the Agreement for <br /> up to three (3) additional one-year periods. This Agreement may be renewed only by mutual <br /> agreement If the parties agree that the terms shall continue, any compensation rate increases shall <br /> be limited to no more than the Consumer Price Index for the San Francisco-Oakland-San Jose <br /> area covering the 24-month period ending the July prior to Agreement renewal. <br /> 7. Compensation. For the services to be rendered hereunder, City shall pay <br /> Consultant not more than Twenty-Five Thousand Dollars ($25,000.00) as described more <br /> particularly in Exhibit A. Notwithstanding the foregoing sentence, in the evert that City alters <br /> the schedule for services to be rendered by Consultant, City acknowledges and agrees that in <br /> order for Consultant to meet such new time schedule or scope of work, Consultant may be <br /> required to incur overtime or to subcontract work to one or more designers. If Consultant <br /> believes that overtime costs will be incurred in order to meet City's revised schedule, Consultant <br /> shall notify City. City shall then notify Consultant whether to proceed with the revised schedule. <br /> In the event that overtime is incurred due to rush or last minute changes, Consultant will notify <br /> City for pre-authorization to be paid overtime. City shall pay Consultant at the overtime rate of <br /> $112.50 per hour for all time over 8 hours in any day worked by Consultart or Consultant's <br /> subcontractor. Payment shall be made at the conclusion of each project, upon receipt of <br /> Consultant's invoice and approval of the Community Services Director or his or her designee. <br /> a. Invoices submitted to City for payment must contain a brief description of work <br /> performed, percentage of work completed, and number of hours .o complete the <br /> project, rate and other expenses. Payment shall be made within thirty (30) days of <br /> receipt of Consultant's invoice. <br /> b. Upon completion of work and acceptance by City, Consultant shall have thirty <br /> (30) days in which to submit final invoicing for payment. An extension may be <br /> granted by City upon receiving a written request fifteen (15) daya in advance of <br /> said time limitation. The City shall have no obligation or liability to pay any <br /> invoice for work performed which the Consultant fails or neglects to submit <br /> within thirty (30) days, or any extension thereof granted by the City, after the <br /> work is accepted by the City. <br /> 8. Changes. City may request, from time to time, changes in the scope of services <br /> to be provided by Consultant. Any changes and related fees shall be mutually agreed upon <br /> between City and Consultant and shall be the subject of a written amendment to this Agreement. <br /> 9. Consultant's Status. In the performance of the obligations set forth in this <br /> Agreement, Consultant shall have the status of an independent contractor anc Consultant shall <br /> not be considered to be an employee of the City for any purpose. All persons working for or <br /> under the direction of Consultant are its agents, servants, and employees and are not agents, <br /> servants, or employees of City. <br /> 10. Termination of Convenience of City. The City may terminate this Agreement at <br /> any time by mailing a notice in writing to Consultant that the Agreement is terminated. Said <br /> Agreement shall then be deemed terminated and no further work shall be performed by <br /> Page 2 <br />
