ATTACHMENT 1 FIRST AMENDMENT TO AGREEMENT This First Amendment to Agreement ("First Amendment") is entered into this __day of January, 2013 by the City of Pleasanton ("City") and Architectural Resources Group ("Consultant"). Whereas, on June 11, 2012, the City and Consultant entered into a Professional Services Agreement ("Agreement") to prepare the Local Historic Context Statement as provided in Exhibit A of the Agreement; and Whereas, Consultant has completed the tasks listed in Exhibit A of the Agreement; and Whereas, total compensation and reimbursement for costs under the Agreement were for an amount not to exceed $24,900, and $24,690 of this total amount has been disbursed to date; and Whereas, the parties now wish to amend the Agreement to expand the scope of services to include the attendance of the consultant at two public meetings on the Local Historic Context Statement to address any concerns and comments and to respond to any questions that may arise; and Whereas, the expanded scope of work will cost no more than $2,000, and the parties desire to amend the Agreement to increase the total compensation to an amount not to exceed $26,900. Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree to revise the Agreement as follows: 1. Services performed by Consultant shall include attendance at two public meetings on the Local Historic Context Statement. Total compensation from City to Consultant shall bot exceed Twenty-Six Thousand and Nine Hundred Dollars ($26,900). 2. All other terms and conditions of the Agreement shall remain in full force and effect. In witness whereof, authorized representatives of the parties have executed this First Amendment to the Agreement as of the date and year first above written.
