Organizations shall prepare a separate agreement, administered through the Administrative <br /> Non-profit, to which each Organization shall be a party, which shall, at a minimum, address the <br /> following issues: <br /> (a) Times of operations <br /> (b) Access and rules <br /> (c) Space apportionment between Organizations <br /> (d) Proper labeling and dating of food stored <br /> (e) Responsibility for County health department standards and cleaning <br /> (f) Liability insurance for each Organization <br /> (g) Security process for access keys, Site access, and unit keys <br /> (h) Temperature logs <br /> (i) Responsibility for maintenance Site and of equipment <br /> (j) Apportionment of utility and garbage service costs <br /> The City shall be provided a copy of the fully executed separate agreement by the <br /> Administrative Non-Profit, and the City also shall be promptly provided a copy of any <br /> amendments thereto. <br /> 5. Additional Organizations. Additional non-profit and public benefit organizations that <br /> provide supplemental food to persons in the Tri-Valley may join this MOU upon approval of the <br /> City and a majority of the existing Organizations. Such additional organization must execute <br /> this MOU, comply with all of its terms, and enter into the separate agreement described in <br /> Section 4, above. <br /> 6. Term and Termination. The term of this MOU shall commence upon full execution of <br /> this MOU by the parties, and be in effect for five (5) years. The term of this MOU shall <br /> automatically renew for an additional five (5) year term unless terminated in writing by either <br /> party with sixty (60) days advance notice. <br /> The City may terminate this MOU in the City's discretion upon sixty (60) days written notice <br /> to the Organizations. A majority of the Organizations may terminate this MOU upon thirty (30) <br /> days written notice to the City. <br /> Upon termination of this MOU, Organizations shall remove the units and fencing from the <br /> Site, and leave the Site in a neat and clean condition. Organizations shall be responsible for <br /> outstanding electricity and any other costs described in Section 3, above, that accrued prior to <br /> termination of the MOU. <br /> 7. Insurance. During the term of this MOU, each Organization shall provide the City with a <br /> certificate of insurance for at least $250,000 in general commercial liability insurance for each <br /> Organization's use of the Site and participation in the Regional Food Storage Project. The City, <br /> its officials, employees, agents and volunteers shall be named as an Additional Insured on such <br /> policy. <br /> Administrative Non-Profit shall be responsible for annually obtaining from each Organization <br /> such certificate of insurance and transmitting all required certificates to the City, to the attention <br /> of Kathleen Yurchak, Community Services Manager or her designee. <br /> Memorandum of Understanding regarding Regional Food Storage Page 3 <br />
