ATTACHMENT 2 MEMORANDUM OF UNDERSTANDING REGARDING REGIONAL FOOD STORAGE PROJECT This Memorandum of Understanding regarding Regional Food Storage Project ( "MOU") is entered into between the City of Pleasanton, a municipal corporation ("City"), Open Heart Kitchen of Livermore, Inc., a California corporation ("Open Heart Kitchen"), and those parties added to this MOU as provided in Section 5, below (collectively the "Organizations"). RECITALS A. The Organizations provide supplemental food to persons in the cities of Dublin, Livermore, Pleasanton and unincorporated portions of Alameda County within the Tri-Valley area. Organizations desire to have a local large scale food storage facility where the Organizations may store perishable foods ("Regional Refrigeration Project"). B. The City desires to support such Regional Food Storage Project by providing space at the City's Operation Services Center at 3333 Busch Road in Pleasanton ("Site") to locate the units comprising the Regional Refrigeration Project. C. The City and Organizations desire to memorialize their understanding regarding the Organization's use of the Site for the Organizations' Regional Food Storage Project. D. Open Heart Kitchen shall serve as the Administrative Non-Profit to coordinate activities between the Organizations and the City related to this MOU. NOW, THEREFORE, in consideration for the mutual covenants and conditions identified in this MOU, the parties agree as follows: 1. Site. (a) Development. Organizations shall receive approval from the City's Community Development Department for the location of the food storage units, related improvements, and operation of the Regional Food Storage Project on the Site (the "Plan"). Organizations shall pay, as determined between the Organizations, the cost to have the Site prepared for the food storage units, as well as for any fencing in the Plan. (b) Access. City hereby grants permission to the Organizations, including their officers, employees, agents, invitees, and volunteers, to enter the Site for the purpose of using the food storage units to store perishable food for the Organizations' public service purposes during the hours of 6:00am to 8:00pm. Access to the Site will be enabled by access keys to the Site provided by the City to each Organization. Each Organization shall initially be provided two (2) access keys at no cost. Additional access keys will be at the expense of the Organization. 1
