ATTACHMENT 2 <br /> MEMORANDUM OF UNDERSTANDING REGARDING <br /> REGIONAL FOOD STORAGE PROJECT <br /> This Memorandum of Understanding regarding Regional Food Storage Project ( "MOU") <br /> is entered into between the City of Pleasanton, a municipal corporation ("City"), Open Heart <br /> Kitchen of Livermore, Inc., a California corporation ("Open Heart Kitchen"), and those parties <br /> added to this MOU as provided in Section 5, below (collectively the "Organizations"). <br /> RECITALS <br /> A. The Organizations provide supplemental food to persons in the cities of Dublin, <br /> Livermore, Pleasanton and unincorporated portions of Alameda County within the Tri-Valley <br /> area. Organizations desire to have a local large scale food storage facility where the <br /> Organizations may store perishable foods ("Regional Refrigeration Project"). <br /> B. The City desires to support such Regional Food Storage Project by providing space <br /> at the City's Operation Services Center at 3333 Busch Road in Pleasanton ("Site") to locate the <br /> units comprising the Regional Refrigeration Project. <br /> C. The City and Organizations desire to memorialize their understanding regarding the <br /> Organization's use of the Site for the Organizations' Regional Food Storage Project. <br /> D. Open Heart Kitchen shall serve as the Administrative Non-Profit to coordinate <br /> activities between the Organizations and the City related to this MOU. <br /> NOW, THEREFORE, in consideration for the mutual covenants and conditions identified <br /> in this MOU, the parties agree as follows: <br /> 1. Site. <br /> (a) Development. Organizations shall receive approval from the City's Community <br /> Development Department for the location of the food storage units, related <br /> improvements, and operation of the Regional Food Storage Project on the Site (the <br /> "Plan"). <br /> Organizations shall pay, as determined between the Organizations, the cost to have <br /> the Site prepared for the food storage units, as well as for any fencing in the Plan. <br /> (b) Access. City hereby grants permission to the Organizations, including their officers, <br /> employees, agents, invitees, and volunteers, to enter the Site for the purpose of <br /> using the food storage units to store perishable food for the Organizations' public <br /> service purposes during the hours of 6:00am to 8:00pm. <br /> Access to the Site will be enabled by access keys to the Site provided by the City to <br /> each Organization. Each Organization shall initially be provided two (2) access keys <br /> at no cost. Additional access keys will be at the expense of the Organization. <br /> 1 <br />
