such easement(s) do not conflict or interfere with City's Easement rights herein conveyed, but <br /> prior to making such a conveyance, Zone 7 will provide written notice to City. <br /> 3.2 Zone 7 reserves the right to use the roads constructed by the City within <br /> the Easement Area to provide Zone 7, its agents and contractors access to the Channel and all <br /> other Zone 7 property. <br /> 4. Indemnification: City shall defend, indemnify and hold harmless Zone 7, its <br /> officers, directors, employees, agents and contractors (collectively, "Zone 7 Indemnitees") <br /> from and against any and all claims, liabilities, damages, losses, costs and expenses, including <br /> reasonable attorneys' fees (collectively, "Claims") to the extent arising out of or resulting from <br /> the negligent or willful misconduct of City or any breach by City of its obligations under this <br /> Grant. <br /> 5. Notices: All notices and other communications under this Grant shall be in <br /> writing and shall be deemed duly given: (a) when delivered if personally delivered to the <br /> recipient; (b) when transmitted by telecopier or facsimile device during normal business hours, <br /> provided such device is capable of generating a written confirmation of such transmission and <br /> receipt and an original is deposited in first class mail within two (2)business days thereafter <br /> addressed as set forth below; (c) on the first business day following delivery to an overnight <br /> delivery service, provided delivery is confirmed by the delivery service; and (d) on the earlier <br /> of actual receipt or three (3) days following deposit in United States registered or certified <br /> mail, postage prepaid and return receipt requested, addressed to the parties as set forth below. <br /> Any party may change its address for notices by giving written notice to the other parties in the <br /> manner set forth above: <br /> If to Zone 7: General Manager <br /> Zone 7 Water Agency <br /> Tel.
