Attachment 1 AGREEMENT FOR CONCESSIONAIRE SERVICES FOR FIREHOUSE ARTS CENTER THIS AGREEMENT is made and entered into this day of _ 2011, by and between the CITY OF PLEASANTON, a municipal corporation (hereinafter referred to as the "City"), and Sandi Bohner and Bill Webster, members of Hummingbird Hills dba Little Valley Winery, whose address is P.O. Box 607, Sunol CA 94586 and telephone number is 925-862-9006 (hereinafter referred to as the "Concessionaire"). RECITALS A. Concessionaire is qualified to provide, and experienced in providing, Concessionaire services and has offered such services for the purposes specified in this Agreement. B. In the judgment of the City, it is necessary and advisable to employ the services of the Concessionaire for the purposes provided herein. NOW THEREFORE, in consideration of mutual covenants, agreements and conditions contained herein, City and Concessionaire agree as follows: 1. Concessionaire's Services. Concessionaire shall provide all work described in Exhibit"A," "Scope of Services," attached hereto and incorporated herein by reference to the extent consistent with this agreement. Concessionaire shall conform to policies outlined in Exhibit`B," "Operating Policies." 2. Term. Time is of the essence. Concessionaire shall begin work on July 1, 2011. The work as described in Exhibit "A," Scope of Work, shall be completed by June 30, 2012. 3. Contract Renewal. The City and Concessionaire shall retain the right to renew the contract for additional one (1) year terms up to, but not exceeding, three (3) additional years. This contract may be renewed only by mutual agreement between the parties. Each party retains the right to not renew the agreement at the time of its annual review. 4. Compensation. Concessionaire shall compensate City for sales rendered pursuant to this Agreement as described more particularly in Exhibit"C," Payment Schedule. Total compensation for sales shall be $3,150.00 annually. 5. Dumpster. If the City determines that it is necessary for Concessionaire to provide a garbage dumpster in connection with its services, the cost thereof shall be divided equally between the parties. 6. Operating Policies. The operating policies for the Concession Bay and support facilities and the Firehouse Arts Center are attached hereto as Exhibit"B" and incorporated herein by reference.
