ATTACHMENT 1 <br /> RESOLUTION NO. 11- <br /> A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PLEASANTON <br /> APPROVING ESCROW INSTRUCTIONS; MAKING CERTAIN DETERMINATIONS <br /> RELATING THERETO); AND AUTHORIZING CERTAIN OTHER ACTIONS IN <br /> CONNECTION THEREWITH THE CITY'S WATER REVENUE REFUNDING BONDS, <br /> SERIES 2004 <br /> WHEREAS, the City of Pleasanton (the "City ") is a municipal corporation duly organized <br /> and validly existing under the laws of the State of California; and <br /> WHEREAS, the City has previously issued its Water Revenue Refunding Bonds, Series <br /> 2004 ( "the "Bonds "), currently outstanding in the principal amount of $670,000; and <br /> WHEREAS, the City desires to defease the outstanding Bonds; and <br /> WHEREAS, there have been presented at this meeting a form of Escrow Instructions (as <br /> defined herein). <br /> NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF PLEASANTON <br /> RESOLVES AS FOLLOWS: <br /> Section 1: The form cf Escrow Instructions, currently dated as of May 15, 2011 (the <br /> "Escrow Instructions "), between the City and U.S. Bank National Association (the "Escrow <br /> Agent "), as presented to this meeting is hereby approved. The City Manager or the Director of <br /> Finance (or their designated representative), each acting alone (collectively the "Officers "), and <br /> the City Clerk are hereby authorized and directed, for and on behalf of the City, to execute, <br /> acknowledge and deliver the Escrow Instructions, in substantially the form presented to this <br /> meeting, with such changes therein as such Officers may require or approve, with the advice <br /> and approval of the City Attorney and Nossaman LLP ( "Bond Counsel "), such approval to be <br /> conclusively evidenced by the execution and delivery thereof. <br /> Section 2: The Officers and staff of the City are hereby authorized and directed, jointly <br /> and severally, to do any and all things, to execute and deliver any and all documents, which in <br /> consultation with Bond Counsel, they may deem necessary or advisable in order to effectuate <br /> the purposes of this Resolution, including, but not limited to, any matters relating to the Bonds, <br /> and any and all such actions previously taken by such Officers or staff members are hereby <br /> ratified and confirmed. <br /> Section 3: This resolution shall become effective immediately upon its passage and <br /> adoption. <br /> PASSED, APPROVED AND ADOPTED by the City Council of the City of Pleasanton at <br /> a regular meeting held on May 3, 2011. <br />
