ATTACHMENT 1 <br /> FIFTH AMENDMENT TO AGREEMENT <br /> This Fifth Amendment to Agreement is entered into this day of 2011 <br /> by the City of Pleasanton ("City ") and Bartel Associates, LLC ( "Consultant ") <br /> Whereas, on July 1, 2006, the City of Pleasanton and Bartel Associates entered <br /> into a Professional Services Agreement for GASB45 - Other Post Employment Benefits <br /> (OPEB) Actuarial Study and related services; and <br /> Whereas, the City needs ongoing actuarial services related to the GASB45 - <br /> OPEB Actuarial Study and the City wishes to continue to use Consultant's services for <br /> this purpose; and <br /> Whereas, the parties desire to amend to the Agreement; <br /> Now, therefore, the parties agree as follows: <br /> 1. Section 5 of the Agreement, "Compensation" is amended to provide <br /> additional compensation in the amount of $33,000 for ongoing actuarial <br /> services related to retirees' medical - GASB45, for a total compensation <br /> not to exceed $140,000, unless the parties agree pursuant to section 8 of <br /> the Agreement. <br /> 2.
