ATTACHMENT 1 <br /> Services Agreement between <br /> The City of Pleasanton and Bay Island Officials Association <br /> This Agreement between the City of Pleasanton and Bay Island Officials Association <br /> ("Association") is entered into this 7 day of December 2010, by and between the City of <br /> Pleasanton ("City"), a municipal corporation, and Bay Island Officials Association <br /> ("Association "), whose address is 3601 Virden Avenue Oakland, CA 94619 (510) 530 -2640. <br /> WITNESSETH: <br /> A. Association is qualified to provide, and experienced in providing, <br /> Officiating services and has offered such services for the purposes specified in this Agreement. <br /> B. In the judgment of the City, it is necessary and advisable to contract the <br /> services of the Association for the purposes provided herein. <br /> NOW 'THEREFORE, in consideration of mutual covenants, agreements and conditions <br /> contained herein, City and Association agree as follows: <br /> 1. Association's Services. Association shall provide all work described in <br /> Exhibit A, Scope of Work, attached hereto and incorporated herein by reference. <br /> 2. Term. Association shall begin work December 7, 2010. The work as <br /> described in the Scope of Work, shall end on June 30, 2013. <br /> 3. Compensation. For the services to be rendered hereunder, City shall pay <br /> Association on a time - and - materials basis, not to exceed $40,165 for 2011, and $42,405 for <br /> 2012, and $43,500 for 2013, based on the rate schedule set forth in Exhibit B, attached hereto <br /> and incorporated herein by reference. <br /> Invoices submitted, on a monthly basis, to the City for payment must contain a brief <br /> description of work performed, dates and number of games. Payment shall be made within <br /> thirty (30) days of receipt of Association's invoice and upon the approval of the Program <br /> Supervisor. <br /> 4. Changes. City may request, from time to time, changes in the scope of <br /> services to be provided by the Association. Any changes and related fees shall be mutually <br /> agreed upon between the City and Association and shall be subject to a written amendment to <br /> this Agreement. The City and Association will meet prior to and during the season to agree on <br /> all issues, which may not be specifically covered in the Agreement. <br /> 5. Association's Status. In performance of the obligations set forth in <br /> this Agreement, Association shall have the status of an independent contractor and its officials <br /> shall not be considered employees of the City for any purpose. <br />
