D. Improvements <br /> If the CITY requests, DISTRICT shall assist CITY with the layout and <br /> construction and signing of trail improvements on the equestrian bypass <br /> section of the Ridgeline Trail in order to protect fragile meadow areas <br /> from equestrian damage. <br /> E. Gates and Locks <br /> Each agency will provide an approved list and number of Locks to be <br /> allowed on gates; notice will be given to each agency of changes. <br /> F. Contact Staff <br /> Each agency shall provide a list of staff and phone numbers to be <br /> contacted for addressing park operation issues. <br /> 4. INDEMNITY <br /> With respect to any claim for personal injury or property damage occurring <br /> to park users on the property of either agency, that indemnifying agency shall <br /> indemnify, defend, protect and hold the other agency harmless from all such <br /> claims, liabilities, judgments, suits and expenses arising from, or in connection <br /> with, or resulting from, use of the indemnifying party's property. Each agency <br /> shall be responsible for the injuries or damages to its employees, without <br /> respect to where the incident which gave rise to the injury/damage occurs. <br /> 5. TERM <br /> The term of this Agreement shall be twenty (20) years, provided, however, <br /> that either agency may terminate this Agreement by notifying the other agency <br /> in writing ninety (90) days in advance of the termination date. <br /> 6. MODIFICATIONS <br /> Any modifications to this Agreement shall be approved by the City Council <br /> of CITY and by the Board of Directors of DISTRICT in order to be effective. <br /> 7. NOTICE <br /> Notices desired or required to be given hereunder shall be given by either <br /> delivering in person to the address provided hereinbelow or depositing in <br /> envelope, with postage prepaid, certified, return receipt requested, in the <br /> United States Post Office. <br /> In the event such notice is being given to District, such notice and the <br /> envelope containing same shall be addressed to the East Bay Regional Park <br /> District, 11500 Skyline Boulevard, Oakland, California 94619, or such other <br /> place as may hereafter be designated in writing by District; and in the event <br /> 3 <br />
