This Agreement may be amended by a written document executed by all of the PARTIES hereto. <br /> XI. ENTIRE AGREEMENT <br /> This Agreement contains all the terms and conditions agreed upon by the PARTIES. Except as <br /> expressly provided herein, no other understanding, oral or otherwise, regarding the subject <br /> matter of this Agreement shall be deemed to exist or to bind any of the parties hereto. <br /> XII. TERMINATION <br /> This Agreement may be terminated immediately at any time by written mutual consent of all PARTIES. <br /> Upon provision of written notice of termination to all other PARTIES no later than October 31, a <br /> PARTICIPATING AGENCY may terminate its participation in this Agreement effective December 31 of the <br /> current calendar year. <br /> XIII.
