Holiday Ice Rink Program Operational Period. During each year of the I.icense Term, including any extension thereof, Licensee shall open and operate the Holiday Ice Rink Facility to the public consecutively from November 19 through January 10 2010 and dates per Exhibit "3" for 201 I and 2012, subject to the terns and conditions contained herein (the "Rink Operational Period "). 6. Holiday Rink Facility Description. The annual Holiday Rink facility shall include the fabrication, installation, operation and tear down of a 14,000 foot outdoor Ice Skating Rink (which includes mechanical and "front of house" areas), together with all ancillary equipment necessary to operate the Holiday Rink, including outdoor lighting. The actual site plan shall be jointly developed by the Licensee team in conjunction with and the cooperation of Licensor's team to accommodate an estimated 20,000 to 30,000 annual patrons for general skating purposes, including participants and spectators, as depicted on the renderings attached as Exhibit "B" (the Holiday Rink Description). 7. holiday Rink Operational Hours. During each Holiday Rink Operational Period during the Term of this License Agreement, the Holiday Rink's hours of actual operation and being opened to the public, subject to closure for severe or inclement weather, will be seven days a week as follows: Monday — Friday: Noon to 10:OOpm PST* Saturday: 10:00 am — 10:00pin PST Sunday: 11:00 am — 10:O0pm NT • Depending on requests for school groups during the school week. the Operational Hours may he increased to operate from 9:00 am -12:00 noon PST in order to accommodate these school groups. R. I loliday Rink Name. The name of the Holiday Rink and all promotional signage relative thereto shall he "Sharks Holiday Ice at Pleasanton." In addition, Licensee shall have the exclusive right to sell a Rink Naming Sponsor at any time during the "term of this Agreement. Any such sponsorship revenue. if any, will be deemed "revenue" for annual budget calculation purposes in year(s) actually received. 9. 1 icensor's Obligations. In order to induce Licensee to enter into this Agreement, Licensor shall have the following obligations during each year of the Term of this Agreement to Licensee as well as such obligations listed on the Basic Information Sheet attached as Exhibit "I" attached hereto and made a part hereof, all of which trust be delivered to the Rink Site no later than November 9, 2009 and the starting dates tor 2011 and 2012 as set birth on Pshibit 2
