4) Artist will provide a reasonable quantity of extra paint for the Work to use for <br /> repair of possible vandalism (scratching). <br /> b. Delivery of the Work. <br /> 1) Artist and her agents shall deliver the Work to the Site after completion of <br /> fabrication and within two (2) weeks of notification that landscaping progress at Firehouse Arts <br /> Center is adequate to accommodate them. <br /> 2) Upon the delivery of the Work to the Firehouse Arts Center, the City's <br /> representative shall inspect and approve the Work for installation. <br /> 3) If at the time of delivery of the Work, the City cannot commence with <br /> installation, City agrees to store the Work at its own cost until installation. <br /> 4) If the Artist completes fabrication of the Work in advance of notification from <br /> the City that the Site is ready for installation of the Work, the City may agree, at its discretion, to <br /> have the Work delivered to the Site and stored by the City until time for installation. <br /> c. Consulting During Installation. The Artist shall coordinate and consult with <br /> Civic Arts and Parks Departments within three (3) working days of notice from the City regarding <br /> completion of the inspection of the Work and related materials. Artist will personally come to the <br /> Site to provide consultation regarding installation of the Work. <br /> 2. FEES <br /> a. The City shall pay to Artist, as the purchase price for the Work and the services to <br /> be rendered by Artist, the sum of $11,400 to be paid in the following installments: <br /> 1) 50% ($5,700) of the purchase price upon execution of this Agreement; <br /> 2) 30% ($3,420) of the purchase price when the Work has been substantially completed; <br /> 3) 20% ($2,280) of the purchase price when the Work has been delivered to the <br /> Site, inspected, installed, and final acceptance made by City. <br /> b. This purchase price includes all of Artist's costs and expenses in carrying out her <br /> obligations hereunder including materials, design, fabrication, transportation, installation, and <br /> communications regarding the Work. <br /> 3. RESPONSIBILITIES OF THE PARTIES <br /> a. The Work shall be fabricated by the Artist in conformity with Exhibit A, subject to <br /> minor changes as are made necessary by the materials or the production process or as are deemed <br /> necessary or appropriate by Artist to carry out the overall design. City understands that it may not <br /> be possible to create the bike racks precisely as depicted in Exhibit A; however, if during the <br /> fabrication process, the Artist makes significant changes in size, imagery, finish, or other approved <br /> elements of the Work, the Artist will notify the City immediately in writing and will receive the <br /> City's written approval prior to proceeding with changes.
