The City shall provide the VOP a limited number of keys /access cards for the purpose of gaining <br /> entry into the building. The VOP will be responsible for assuring the building is secure upon the <br /> completion of any VOP activity. <br /> 411. Subleasing and Non Assignability. <br /> The VOP shall not assign, sublet, or transfer the Facility access rights included in this Agreement <br /> to any other organization without prior written consent of City, and then only upon such terms and <br /> conditions as the City may set forth in writing. Should this occur, the responsible Veterans <br /> association shall be responsible for incurring the actual rental rates and all other City requirements <br /> for the rental of the facility. <br /> 44,12. Alterations and Improvements. <br /> The City shall have the right to make, at its own cost and expense, any alterations and <br /> improvements that may be required. All such alternations alterations and improvements shall be <br /> become the property of the City. In the event any alterations or improvements affect access to the <br /> Facility by the VOP, the City shall work cooperatively with the Committee to identify a temporary <br /> alternate location at no cost to the VOP. The VOP may make improvements to the Veterans' <br /> Rooms at its own expense, provided the City approves the renovations in advance. <br /> 13. Insurance. <br /> During the term of this Agreement, the VOP shall maintain in full force and effect at its own cost <br /> and expense, Commercial General Liability Insurance for at least $1 million combined limit for <br /> bodily injury and property damage, and provide that the City, its officers, employees and agents <br /> are named additional insured under the policy, as well as the member organizations of the VOP as <br /> set forth in Section 1. The policy shall be endorsed to provide that this insurance will operate as <br /> primary insurance for activities conducted by the VOP. The general liability insurance shall <br /> include full legal liquor liability. <br /> 14. Indemnify and Hold Harmless. <br /> The VOP shall defend, indemnify and hold harmless, the City and its officers, employees and <br /> agents from and against all claims, losses, damage, injury and liability for damages arising from <br /> the activities of the VOP or its use of the Facility, except for those claims arising from the City's <br /> negligence. The parties agree that the VOP's liability under this provision is limited to the <br /> insurance coverage provided in section 4413. <br /> 1 15. Entire Agreement, Amendment. <br /> The purpose of this Agreement is to implement and augment Califomia Military and Veterans <br /> Code Section 1260 et seq. and City of Pleasanton Resolution No. 97 -01. This executed Agreement <br /> represents the final understanding among the parties, and previous drafts and negotiations <br /> regarding this Agreement are of no further in effect. <br /> 1 16.
