"Cart Barn" is the approximately 4,700 square foot building to be used for <br /> storage of golf carts and related activities. <br /> 1.07 City. "City" is the City of Pleasanton and owner of the Golf Course. <br /> 1.08 City Manager. "City Manager" is the person holding the position of the City Manager <br /> of the City of Pleasanton, or his or her designee. <br /> 1.09 Clubhouse. "Clubhouse" is the clubhouse building that is a part of the Golf Course. <br /> 1.10 Combined Management Fee. "Combined Management Fee" is the Fixed <br /> Management Fee and Incentive Management Fee, which constitute the annual consideration <br /> paid to OPERATOR for the performance of services under this Agreement. <br /> 1.11 Compensation. "Compensation" is the direct salaries and wages paid to or accruing for <br /> the benefit of the management staff and all other persons employed by OPERATOR at the Golf <br /> Course, together with all fringe benefits payable to or accruing for the benefit of such <br /> employees, including employer's contribution under the Federal Insurance Contributions Act <br /> "FICA unemployment compensation, or other employment taxes, pension fund <br /> contributions, worker's compensation, group life and accident and health insurance premiums, <br /> retirement, disability and other similar benefits. <br /> 1.12 Contract Transition Period. "Contract Transition Period" is defined in Section 14.01. <br /> 1.13 Corrective Action Item. "Corrective Action Item" is defined in Section 4.07.9. <br /> 1.14 Cost of Goods Sold. "Cost of Goods Sold" is defined as beginning Resale Inventory <br /> plus purchases for Resale Inventory minus ending Resale Inventory. <br /> 1.15 Course Maintenance Plan. "Course Maintenance Plan" is defined in Section 3.08.3. <br /> 1.16 Crew. "Crew" is the Golf Course maintenance staff employed by OPERATOR. <br /> 1.17 Direct Cost Budget. "Direct Cost Budget" is defined in Section 8.01.2. <br /> 1.18 Direct Costs. "Direct Costs" is defined in Section 8.01.1. <br /> 1.19 Director.
