1.22 Facilities. "Facilities" are the buildings, structures, Improvements, irrigation and <br /> controls, cart paths, fencing, fixtures, trade fixtures, Furnishings and Equipment, Food Service <br /> Facilities, parking lots, and utility systems located on the Premises. <br /> 1.23 Fixed Management Fee. "Fixed Management Fee" is defined in Section 8.03.1. <br /> 1.24 Food Service Manager. "Food Service Manager" is defined in Section 4.05.2. <br /> 1.25 Food Service Facilities. "Food Service Facilities" is defined in Section 4.05. <br /> 1.26 Force Maieure. "Force Majeure" is defined in Section 15.04. <br /> 1.27 Furnishings and Equipment. "Furnishing and Equipment" are all furniture, <br /> furnishings, trade fixtures, apparatus and equipment, including without limitation, course <br /> maintenance vehicles and equipment, golf carts, driving range pickers and pullers, mats, range <br /> ball baskets, cash registers, rental golf clubs and bags, ball washers, benches, uniforms, kitchen <br /> equipment, appliances, china, glassware, silverware, office equipment, computers, copy <br /> machines, facsimile machines, telephone systems (not including pay telephones), and other <br /> personal property used in or held in storage for use in the operation of the Golf Course, other <br /> than Resale Inventory. <br /> 1.28 GCSAA. "GCSAA" is the Golf Course Superintendents Association of America. <br /> 1.29 General Manager. "General Manager" is an employee of OPERATOR who oversees <br /> the operations of the entire Golf Course. <br /> 1.30 Golf Course. "Golf Course" or "Premises" or "Course" is the municipal golf course <br /> owned by the CITY, now named Callippe Preserve, including but not limited to the land and <br /> Facilities, including Food Service Facilities, all revenues of which are paid into, and all <br /> expenses are paid from, City funds administered by OPERATOR pursuant to this Agreement. <br /> 1.31 Golf Course Expenses. "Golf Course Expenses" are all costs and expenses incurred in <br /> the operation, management, and maintenance of the Golf Course, including: (a) all expenditures <br /> incurred by CITY for the benefit of the Golf Course; (b) the "Combined Management Fee" paid <br /> to OPERATOR pursuant to Section 8.03 of this Agreement; (c) all expenses specifically <br /> identified as "Direct Costs" in this Agreement; and (d) all other expenses incurred by <br /> OPERATOR in connection with the Golf Course or this Agreement, which expenses were not <br /> reasonably anticipated by the parties or otherwise provided in this Agreement and which are <br /> consistent with the operation of a golf course. <br /> 1.32 Golf Course Manual. "Golf Course Manual" is the manual for the operation and <br /> maintenance of the Golf Course attached hereto as Exhibit A and incorporated herein by this <br /> reference, as it may be revised during the term of this Agreement in the sole and absolute <br /> discretion of the Director; provided, however, that if any such revision results in an increase in <br /> 3 <br />
