ATTACHMENT 1 <br /> DRAFT <br /> PROFESSIONAL SERVICES AGREEMENT <br /> THIS AGREEMENT is entered into this I day of July 2009, by and between the CITY <br /> OF PLEASANTON, a municipal corporation (hereinafter referred to as the "CITY and <br /> T.E.S.S., (hereinafter referred to as the "CONSULTANT whose address is 3148 Riviera Way, <br /> San Ramon CA 94583 and telephone number is (925) 413 -0032. <br /> RECITALS <br /> A. CONSULTANT is qualified to provide, and experienced in providing, plan review <br /> and inspection services for the purposes specified in this Agreement. <br /> 13. In the judgment of the CITY, it is necessary and advisable to employ the services of <br /> the CONSULTANT for the purposes provided herein. <br /> NOW THEREFORE, inconsideration of the mutual covenants and conditions in this <br /> Agreement. CITY and CONSULTANT agree as follows: <br /> 1. Consultant's services. Subject to the terms and conditions set forth in this <br /> Agreement, CONSULTANT shall provide to CITY the services described in Exhibit <br /> A. CONSULTANT shall provide said services at that time, place and in the manner <br /> specified in Exhibit A. <br /> 2. City Assistance, Facilities, Equipment and Clerical Support. Except as set forth <br /> in Exhibit A, CONSULTANT shall, at its sole cost and expense, furnish all facilities <br /> and equipment that may be required for furnishing services pursuant to this <br /> Agreement. CITY shall furnish to CONSULTANT only the facilities and equipment <br /> listed in Exhibit A according to the terms and conditions set forth in Exhibit A. <br /> 3. Terms. This contract shall apply to fiscal years 2009/2010 to 2010/2011 ending June <br /> 30, 2011. No less than sixty (60) days prior to the expiration of the original contract <br /> term, the CITY at its discretion may extend the contract for two (2) additional years <br /> ending on June 30, 2013 at the same terms and conditions contained within this <br /> contact, following written notice to CONSULTANT <br /> 4. Compensation. CITY shall pay CONSULTANT for services rendered pursuant to <br /> this Agreement at the time and manner set forth in Exhibit B. The payments shall be <br /> made on a monthly basis upon receipt and approval of Consultant's invoice. Total <br /> compensation for services and reimbursement for costs shall not exceed $275,000 <br /> annually unless the parties agree pursuant to section 7. <br /> 1 <br />
