VII. <br /> <br />Amendment and Termination. <br /> <br />A. The City has predicated its financing of the road improvements upon <br /> securing satisfactory agreements with other Vineyard Corridor property <br /> owners for timely dedication of rights-of-way and construction <br /> management. In the event the Ci~' is unable to conclude these agreements <br /> to allow the improvements to be built, this Development Agreement shall <br /> be of no further force or effect. <br /> <br />B. This Development Agreement may only be amended, rescinded, or <br /> terminated with the mutual written consent of the parties, in accordance <br /> with Government Code Section 65864 et seq. <br /> <br />VIII. <br /> <br />Annual Review'. The annual review required by Govermnent Code <br /> <br />Section 65865.1 shall be conducted by the City. with the Property Owner having a <br />reasonable opportunity to address matters the City believes have not been <br />undertaken in accordance with the Development Agreement. <br /> <br />IX. <br /> <br />Pr0}ect is a Private Undertaking. Except as to the improvements contemplated in <br />Exhibit N. the development of the Property contemplated by this Development <br />Agreement is a private development. The Property O~vner shall have full power <br />over and the exclusive control of the Property sul~iect only to the limitations and <br />obligations of the Property Owner under Project approvals and this Development <br />Agreement. <br /> <br />Revision #2 Draft Lonestar California.
