4o The ownership of the Distribution System and Street Light%ng Facilities shall vest in pGandE, pursuant to the provisions of Sections 10109, lOllO, and lOlll of the Streets and H~ghways Code of the State of California° NOW, THEREFORE, IT IS MUTUALLY AGREED AS FOLLOWS: 1. Subject to the terms and conditions of this agreement and in accordance with Section Bo2 of PGandE's Rule NOo 15ol (Underground Extension Rule), a copy of which is attached and made a part hereof, PGandE ~is willing to comply with City's request and will, at its expense, install the Distribution System provided (a) City satisfies its obligation under Section 2 hereof, City and Owner pays to PGandE any monies due under Section 3 hereof, and (c) City conveys to PGandE any required facilities installed hereunder by City free and clear of all liens and encumbrances by good and sufficient deed or deeds. 2o City will, as prdvided in Section B~I of the Underground Extension Rule, perform (or arrange for the performance of) all necessary trenching, excavation, backfilling, including furnishing of any imported backfill material required, and furnish, install (or'arrange for the installation of) and deed to PGandE any necessary conduit required, all in accordance with PGandE's plans and specifications° City shall also pay to PGandE in advance of construction the additional nonrefundable sums of (1) $98°22 representing the costs of conduit for local distribution and main feeders and $833~06 representing the'costs to trench and backfill in accordance with Section'B of the Underground Extension Rule and (2) $208°24 representing the costs for 440 feet of 2-inch and 70 feet of 3-inch service conduit in accordance with PGandE's Electric Service Rule No° 16, attached hereto and made a part hereof° 2:
