Resolution No. 94~45 Page Two WI4ERE A S, the Authority has indicated its intention to issue, sell and deliver its Refunding Lease Revenue Bonds, 1994 Series B (the "Bonds"), in a principal amount sufficient to retinanee, in part, the Prior Obligations, which Bonds shall be payable solely from payments made by the City under and pursuant to such lease Agreement, all under and in accordance with the Constitution and laws of the State of California, including the JPA Act; and WHEREAS, them have been presented at this meeting forms of a site lease, a lease agreement and a preliminary official statement; NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF PLEASANTON RESOLVES AS FOLLOWS: Section 1: Approval of Site Lease. The proposed form of the Site Lease currently dated as of April 1, 1994 (the "Site Lease"), by and between the Authority and the City, as presented to this meeting is hereby approvad. The City Manager and Assistant City Manager, and the City Clerk or any other officers duly designated by the City (the "Officers") are hereby authorized and directed, for and on behalf of the City, to execute, acknowledge and deliver the Site Lease, in substantially the form presented to this meeting, with such changes thenfro as such Officers may require or approve, with the advice and approval of the City An~mey of the City, such approval to be conclusively evidenced by the execution and delivery thereeL Section 2: Approval of Lease Agreement. The form of Lease Agreement, currently dated as of April 1, 1994 (the "Lease Agreement"), by and between the City and the Authority, as presented to this meeting is hereby approvad. The Officers ar hereby authorized and directed, for and on behalf of the City, to execute. acknowledge and deliver the Lease Agreement in substantially the form presented to this meeting, with such changes ther(tn as such Officers may require or approve, with the advice and approval of the City Attorney, such approval to be conclusively evidence by the execution and delivery thereef. Section 3: Approval of Preliminary and Final Official Statement. The form of Prellminary Offmial Statement as presented to this meeting is hereby approved. The Offices are hereby authorized and directed, for and on behalf of the City, to execute all certificates necessary to deem final the Preliminary Official Statement as of its date, with the exception of certain final pricing and related information. The Officers are hereby authorized and directed, for and on behalf of the City, to execute and deliver the final Official Statement. The use and distribution of said Preliminary Offxcial Statement and use and distribution of the final Official Statement in connection with the sale of the Bonds is hereby ratified and approved.
