WHEREAS, <br />WHEREAS, <br /> <br />WHEREAS <br /> <br />WHEREAS <br /> <br />CITY COUNCIL OF THE CITY OF PLEASANTON <br /> <br />ALAMEDA COUNTY, CALIFORNIA <br /> <br />RESOLUTION NO. 94-45 <br /> <br />RESOLUTION APPROVING A SITE LEASE, A LEASE <br />AGREEMENT AND AN OFFICIAL STATEMENT; MAKING <br />CliliTAIN DETF_XMINATIONS RELATING 'rnt/cETO; AND <br />AUTHORIZING CERTAIN OTItER ACTIONS IN <br />CONNECTION II'HERE~YEIII <br /> <br />thg City of Pleasanton (the "City") is a municipal corporation duly organized and <br />validly existing undex the Constitution and laws of the State of California; and <br /> <br />there has previously been issued Certificates of Participation (Capital Projects I <br />and II) and Certificates of Participation (Capital Improvement Projects) <br />(collectively, the "Prior Obligations"), which Prier Obligations are secured by <br />certain lease obligations of the City, which the City now desires to retinarice; and <br /> <br />the Pleasanton Jffmt Powers Firam&rag Authority (the "Authority") is authorized <br />under the Marks-Roos Local Bond Pooling Act of 1985, constituting Artiele 4, <br />Chapter 5, Division 7, Title 1 (commencing with Section 6584) of the California <br />Government Code, as amended (the "JPA Act"), and under the Ithnt Exefflsn of <br />Powers Agreement, dated as of June 29, 1993, as amended, by and between the <br />City and the Pleasanton Housing Authority, to issue revenue bonds in connection <br />with the financing and refmancing of certain public capital improvements; and <br /> <br />the City is authorized to lease its property to finance and retinanee public capital <br />improvements, including those improvements constituting the Project (as defined <br />below); and <br /> <br />the City has tietermined to enter into a site lease with the Authority, pursuant to <br />which the Authority will lease from the City certain real property located within <br />the City, ragether with the improvements thereon (the "Project"), and the City <br />will enter into a lease agreement with the Authority pursuant to which the City <br />will lease the Project from the Authority; and <br /> <br />WHEREAS, under and pursuant to such lease agreement, the City will be obligated to make <br /> certain lease payments to the Authority; and <br /> <br /> <br />
