PGandE shall not be re s~~~onsi ble for a.ny delay in cons trucl:~ion oi' the Street L~ight~ing Fac ilities resulting from shortage of labor or materials strikes, labor disturbance, war, riots, o-aeather coi;d~itions, governmental rule, regulation or order, including orders or judgr~ents of any court or commission, delays in obtaining necessary rights o~P way, act of God, or any cause or condi- tion of like or unlike chat°acteristic v;hich is beyond the control of PGandE. PGandE shall have the right, in the event it is unable to obtain supplies, materials, or labor for all of its construction requirements, to allocate materials and labor to construction projects r~rhich, in its sole discretion, it deems most important to serve the needs of its custoir~^rs, and delay in construction ties°eunder resulting from such allocation shall be deeir:eci a cause beyond PGandE's control. 9. City shall grant PGandE all necessary rights of ingress and egress over the district by means of roads and lanes thereon, for the installa- tion, operation, maintenance, repair and replacement of the Street Lighting Facilities and all parts thereof, as generally shorm on Cxhibit "A". 10. This agreement shall not be assignable, by operation of la~~~ or otherwise, unless PGandE first consents therei:o in writing and the assignee, in writing, assumes and covenants to perform all of City's obligations here- under. 3:
