materials or equipment; delay in receiving materials or equipment; or any cause beyond Authority's control. .Authority shall notify Agency in writing of any cause for delay and the anticipated time of delay within 14 calendar days of development of the delay; Authority shall request Agency's authorization for an extension of time due to delay. Authority shall work with Agency to assist Agency in the disposal of Agency's effluent on a temporary basis until Authority can accept Agency's flows. The efforts by Authority shall include, but not be limited to, coopera- tion in obtaining approvals from the Regional Water Quality Control Board, temporary use of Authority's facilities, cooperation and assistance in obtain- ing temporary use of alternative facilities, and mitigation of any damages which would be incurred by Agency as a result of delays in Authority's project. 14. Dissolution or Modification of Either Agency or Authority: A. Dissolution or Modification of Authority: In the event that Authority is modified or terminated by virtue of actions taken pursuant to its Joint Powers Agreement, the right of Agency to use said facilities shall con- tinue and any assignee{s} or transferee or transferees of ownership of the Authority's facilities shall be subject to this Agreement. B. Dissolution or Modification of Agency: Should Agency terminate or be modified, any assignee(s) or transferee or transferees shall be entitled to assignment of all of Agency's right, title and interest to use ~aid facili- ties as set forth in this Agreement, provided said transferee.or assignee assumes the terms hereof. 15. Additional Facilities: This agreement is intended to encompass the obligations of the parties regarding the facilities referred to in this agreement and exhibits thereto.
