claims for time adjustments. City will not unreasonably withhold <br />its consent to an adjustment to the schedule if the circumstances <br />warrent an adjustment. <br /> <br /> 12. ASSIGNmeNT. Appraiser shall not assign this contract or <br /> any portion thereof without the express written approval of City. <br /> This clause shall not prohibit the assignment of any of the proceeds <br /> received by Appraiser pursuant to the terms of this contract. <br /> <br /> 13. TIME. Time is of the essence in the performance of the <br /> terms and conditions'contained herein. <br /> <br /> 14. TERMINATION. Either party hereto shall have the right to <br />terminate this agreement upon giving a ten (10) day written notice <br />of such termination to the other party. In the event of the termina- <br />tion of this contract in its entirety, notwithstanding any other fee <br />provision of this agreement, the City Attorney, based upon work <br />accomplished by Appraiser prior to notice of such termination, shall <br />determine the amount of fees to be paid to Appraiser for such services <br />based upon accepted appraisal practices and such finding by the City <br />Attorney shall be final and conclusive as to the amount of such <br />fee. <br /> <br /> 15. INDEPENDENT CONTRACTOR. City retains AppraiSer as an <br />independent contractor and not as an employee of City. As an <br />independent contractor, Appraiser's agents and employees shall be <br />the sole responsibility of Appraiser and shall not be deemed to fall <br />within any of the personnel provisions governing City employees. <br /> <br />In addition, Appraiser shall be solely responsible for insuring com- <br /> <br />-6- <br /> <br /> <br />
