AGREEMENT OF P~%OCEDURES AND OBLIGATIONS P'UR ASSISTING IN <br /> THE ESTABLISHMENT OF A .MAJOR SHOPPING CENTER IN THE <br /> STONERIDGE AREA THROUGH FINANCING OF THE PUBLIC IMPROVEMENTS <br /> BY SPECIAL ASSESSMENT PROCEEDINGS <br /> <br />I. DECLARATION OF PURPOSE AND PARTIES INVOLVED <br /> <br /> A. The purpose of this agreement is to give general assistance <br /> <br />in the financing of the public improvements necessary for the development <br />of a certain parcel of real property hereinafter referred to as "Shopping <br />Center," in the City of Pleasanton, County of Alameda, State of California. <br />The "Shopping Center" is as shown on the map attached to this agreement, <br />labeled "Entire Parcel" and by reference incorporated herein. All <br />references hereafter to "Shopping Center" will refer to said property, <br />all of which is to be privately owned. The purpose of this agreement <br />is for the mutual benefit and protection of all parties and shall be <br />binding upon the successors in interest therein. <br /> <br /> B. The parties and property involved are: <br /> <br /> 1. City of Pleasanton, a municipal corporation organized <br /> laws of the State of California, hereinafter called "City." <br /> 2. Stoneridge Peripheral (a joint venture composed of <br /> <br />Taubman Western Associates No, 2, a Michigan genera]. partnership, and <br /> <br />The Stoneson Development Corporation of California, a California corpora- <br />tion), Stoneridge Properties (a California limited partnership composed <br />of Taubman Western Associates No. 2, a Michigan general partnership, and <br />The Stoneson Development Corporation of Californfa, a California corpora- <br />tion), which are hereinafter collectively referred to as "Developer," <br />and The Stoneson Development Corporation of California, a California <br />corporation, hereinafter referred to as "Stoneson." <br /> <br />under the <br /> <br /> 3. Entire <br /> <br />Of the Shopping Center <br />attached map labeled, <br />a portion of the-Stoneson parcel. <br /> <br />Parcel is the area of private ownership consisting <br />and the Stoneson parcel, as delineated on the <br />"Entire Parcel." Peripheral Land as used herein is <br /> <br />-1- <br /> <br /> <br />
