Second Amendment, 2024335 Page 1 <br /> <br />SECOND AMENDMENT TO AGREEMENT <br /> <br /> <br />This Second Amendment to Agreement ("Second Amendment") is entered into this 4th day of <br />February 2025 by the City of Pleasanton ("City") and Woodard & Curran, Inc. ("Consultant”). <br /> <br />Whereas, on August 15, 2023, the City and Consultant entered into a Design <br />Professional Services Agreement for potable water pipeline and booster station design services <br />("Agreement"); and <br /> <br />Whereas, on March 19, 2024, the City and Consultant entered into a First Amendment to <br />Agreement ("First Amendment") to extend the scope of work, compensation, and term. <br /> <br />Whereas, the parties desire to amend the Agreement, extending the scope of work, <br />compensation, and term. <br /> <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br /> <br />1. Section 1 of the Agreement, “Consultant’s Services” is amended to read: <br /> Consultant shall diligently perform the services described in Exhibit A, Scope of <br />Work, attached to the Second Amendment and incorporated to the extent consistent <br />with the original Agreement. <br /> <br />2. Section 4 of the Agreement, “Term” is amended to read: <br />The work as described in the attached Exhibit A, Scope of Work, shall be completed <br />by June 30, 2026. <br /> <br />3. Section 5 of the Agreement, “Compensation” is amended to read: <br />For the services to be rendered, City shall increase the compensation to the <br />Consultant by $60,000, on a time and material cost basis, for the not-to-exceed total <br />amount of $836,365, the scope of services has been expanded as defined in Exhibit A <br />attached to the Second Amendment. <br /> <br />4. This amendment may be executed in multiple counterparts, each of which shall be an <br />original and all of which together shall constitute one agreement. Counterparts may <br />be delivered via facsimile, electronic mail (including pdf or any electronic signature <br />complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), <br />California Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or <br />other applicable law) or other transmission method, and any counterpart so delivered <br />shall be deemed to have been duly and validly delivered and be valid and effective for <br />all purposes. <br /> <br />5.
