NILES-PLEASANTON TRACK CONSOLIDATION PROJECT <br /> <br /> SECTION IV - contd. <br /> <br />provide payment of the funds as set forth within the aforesaid State-County <br />agreement, and (c) to any other relevant provisions contained within the aforesaid <br />State-County agreement. <br /> <br /> 9. That COUNTY will provide its construction inspector on COUNTY's <br />portion of the project with the express understanding and condition that said <br />COUNTY's ~nspector shall work under the direction of CITY's resident construction <br />inspector. <br /> <br /> 10. That CITY and COUNTY will be represented in matters concerning <br /> <br />this agreement by each jurisdiction's respective Director of Public Works, or his <br />designated representative. <br /> <br /> 11. That COUNTY agrees to defend, indemnify, hold, and save CITY, its <br />officers, boards, commissions, agents, and employees harmless from any and all <br />claims and liability for injuries to persons or damage to property caused or <br />resulting in any manner from CITY's construction activities performed on behalf <br />of COUNTY under the terms of this agreement, excepting for injuries to persons or <br />damage to property caused or resulting from the sole negligence or willfull <br />misconduct of CITY, its officers, boards, commissions, agents, and employees. <br /> <br /> 12. That this agreement may be amended at any time by mutual consent <br /> <br />of the parties hereto. <br /> <br /> 13. That this agreement shall terminate no later than six months from <br />the date of execution by both parties hereto unless CITY has awarded the construction <br />contract noted in Paragraph 7 of Section II above, or an extension in the life of <br />this agreement has been otherwise mutually agreed to by the parties herto. Provided <br />the required construction contracts are awarded within the aforesaid six month <br />period, this agreement shall then terminate upon the completion of all action and <br />activities required herein. <br /> <br /> <br />
