$3,218,503 CITY OF PLEASANTON Assessment District No. 1988-1 (Old Santa Rita Road) Limited Obligation Improvement Bonds PURCHASE CONTRACT October 18, 1988 City Council City of Pleasanton, California Ladies and Gentlemen: The undersigned (hereinafter referred to as the "Underwriter") offers to enter into this purchase contract (the "Purchase Contract") with the City of Pleasanton (herein referred to as the "City"), which, upon the City's acceptance hereof, will be binding upon the City and the Underwriter. This offer is made subject to the City's acceptance by resolution of the City Council approving this Purchase Contract on the date hereof, and, if not so accepted, will be subject to withdrawal by the Underwriter upon notice delivered to the City at any time prior to the acceptance hereof by the City. 1. Purchase and Sale. Upon the terms and conditions and upon the basis of the representations, warranties and agreements hereinafter set forth, the Underwriter hereby agrees to purchase- from the City for offering to the public, and the City hereby agrees to sell to the Underwriter for such purpose, all (but not less than all) of the Limited Obligation Improvement Bonds, City of Pleasanton, Assessment District No. 1988-1, Old Santa Rita Road, Series No. 1988-1 (hereinafter referred to as the "Bonds"), dated November 2, 1988, in an aggregate principal amount not to exceed $3,218,503.00, the Bonds having the maturities and bearing interest at the rates set forth in Exhibit A hereto, such interest being payable commencing March 2, 1990 and semiannually thereafter on September 2 and March 2. The purchase price of the Bonds shall be $3,218,503.00, which is the aggregate principal amount of the Bonds, less an underwriting discount of $64,370.30. 2.
