<br />REIMBURSEMENT AGREEMENT <br />FOR ENVIRONMENTAL CONSULTANT SERVICES <br /> <br /> <br />This Reimbursement Agreement for preparation of an Initial Study/Mitigated Negative <br />Declaration (“IS/MND”) (“Agreement”) is entered into on December 16, 2025, between the City <br />of Pleasanton, a general law city (“City”) and BMP LPOP, LLC (“Applicant”). <br /> <br />RECITALS <br /> <br />A. Applicant owns or has an interest in a 7.29-acre site located at 5976-5994 West Las <br />Positas Boulevard (APN 941-2760-005), Pleasanton, California (the “Property”), upon which <br />Applicant is proposing to demolish existing commercial buildings and construct 112 residential <br />units with 29 accessory dwelling units (the “Project”). <br /> <br />B. On December 16, 2025, City authorized work with Raney Planning & Management, Inc. <br />(Consultant) for the preparation of the IS/MND for the Project. <br /> <br />C. Applicant agrees to reimburse City for the cost of such Consultant services and charges <br />in the City’s Master Fee Schedule. <br /> <br />NOW, THEREFORE, in exchange for valuable consideration, the parties agree as follows: <br /> <br />1. Reimbursement of Third-Party Consulting Costs and Charges in Master Fee <br />Schedule. A list of the third-party consultants proposed to be retained by the City and the <br />consultants’ consulting costs and charges is attached hereto (and incorporated herein as if set forth <br />in full) as Exhibit A (the “Eligible Consulting Costs”). During the term of this Agreement, <br />Applicant agrees to reimburse City for the Eligible Consulting Costs, plus the twenty-five percent <br />(25%) charge in the Master Fee Schedule for City staff review of Consultant’s cost for the work. <br /> <br />2. Time and Manner of Reimbursement. Payment for Eligible Consulting Costs plus <br />charges shall be made as follows: (a) Applicant shall make a $33,694 payment (the “Deposit”) to <br />the City when the City executes an agreement for Eligible Consulting Costs; (b) in the case of <br />additional services being necessary and agreed-upon by Applicant and the City, such additional <br />costs and charges shall be paid within thirty (30) days of the Applicant’s receipt of an invoice <br />from the City. All invoices shall be provided by City pursuant to the notice requirements of <br />Section 6, below. Once received, Applicant shall review each invoice to confirm the costs set <br />forth therein are Eligible Consulting Costs. <br /> <br />The City hereby directs that any Eligible Consulting Costs and charges due to the City <br />pursuant to this Agreement shall be payable to the City of Pleasanton and mailed to: <br /> <br />Attention: Diego Mora <br /> City of Pleasanton Planning Division <br /> 200 Old Bernal Avenue <br />P.O.
