Fourth Amendment Page 1 <br />FOURTH AMENDMENT TO AGREEMENT <br /> <br /> <br />This Fourth Amendment to Agreement ("Fourth Amendment") is entered into this 2 day <br />of October 2023 by the City of Pleasanton ("City") and CivicMakers, LLC <br />("Consultant”) <br /> <br />Whereas, on January 19, 2023 the City and Consultant entered into a Professional <br />Services Agreement for as needed consultancy related to community engagement <br />services ("Agreement"); and <br /> <br />Whereas, on February 24, 2023 the City and Consultant agreed to amend the <br />agreement to include within the scope of work additional tasks related to the 2-year <br />Budget Community Outreach project and increase the compensation not to exceed <br />$35,000; and <br /> <br />Whereas, on April 28, 2023 the City and Consultant agreed to amend the <br />agreement to include additional tasks related to the Strategic Plan Community <br />Engagement and increase compensation to not to exceed $41,505; and <br /> <br />Whereas, on July 28, 2023 the City and Consultant agreed to amend the <br />agreement to provide additional funds for remaining tasks related to the Strategic Plan <br />Community Engagement; and <br /> <br />Whereas, the City and Consultant agreed to an updated scope of work for the <br />remainder of Fiscal Year 2023-24 as outlined in Exhibit A. <br /> <br />Whereas, the parties desire to amend to the Agreement; <br /> <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br /> <br />1. Section 4 of the Agreement, " Compensation " is amended to read: <br />“ City shall pay Consultant for services rendered pursuant to this Agreement <br />as described more particularly in Exhibit A. The payments shall be made on a <br />monthly basis upon receipt and approval of Consultant’s invoice. Total <br />compensation for services and reimbursement for costs shall not exceed <br />$59,755.00.” <br /> <br />2. This amendment may be executed in multiple counterparts, each of which <br />shall be an original and all of which together shall constitute one <br />agreement. Counterparts may be delivered via facsimile, electronic mail <br />(including pdf or any electronic signature complying with U.S. federal E-Sign <br />Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic <br />Transactions Act (Cal.
