"Prevailing Wage Policies"). Licensee shall submit and allow the City to inspect, upon <br /> request by the City, Licensee's payroll records and other proof of compliance with the <br /> Prevailing Wage Policies consistent with the requirements in California Labor Code § <br /> 1776, as may be amended or superseded. <br /> Licensee shall defend, indemnify and hold the City and Indemnified City Parties harmless <br /> from and against any and all present and future Claims, that arise from or in connection <br /> with Licensee's obligation to comply with Prevailing Wage Policies and all Laws with <br /> respect to the installation, construction or other work in connection with this License, <br /> which includes without limitation any and all Claims that may be made by Licensee's <br /> Agents or any other contractors, subcontractors or other third parties pursuant to <br /> California Labor Code §§ 1726 and 1781, as amended and added by California Senate <br /> Bill 966 (Alarcon), and as may be amended or superseded in the future. <br /> Licensee hereby waives, releases and discharges forever the City and Indemnified City <br /> Parties from any and all present and future Claims that arise from or in connection with <br /> Licensee's obligation to comply with Prevailing Wage Policies and all Laws with respect <br /> to the installation, construction or other work in connection with this License. Licensee <br /> hereby acknowledges that Licensee is aware of and familiar with the provisions in <br /> California Civil Code § 1542 which provides as follows: <br /> A general release does not extend to claims which the creditor does not <br /> know or suspect to exist in his or her favor at the time of executing the <br /> release, which if known by him must have materially affected his or her <br /> settlement with the debtor. <br /> Licensee hereby waives and relinquishes all rights and benefits which it may have under <br /> California Civil Code § 1542, as such relates to this License. Licensee's obligations under <br /> this Section 9.4 will survive this License's expiration or earlier termination. <br /> To the extent applicable, as provided in SB 854 (Stats. 2014, ch. 28): (a) no contractor or <br /> subcontractor may be qualified to bid on, be listed in a bid proposal, subject to the <br /> requirements California Public Contracts Code § 4104, or engage in the performance of <br /> any contract for public work, unless currently registered with DIR and qualified to perform <br /> public work pursuant to California Labor Code § 1725.5 (Cal. Lab. Code § 1771.1(a)); (b) <br /> no contractor or subcontractor may be awarded a public works contract unless registered <br /> with the DIR to perform public work pursuant to California Labor Code § 1725.5 (Cal. Lab. <br /> Code § 1771.1(b)); and (c) work performed on the project is subject to compliance <br /> monitoring and enforcement by DIR (Cal. Lab. Code § 1771.4). <br /> 10.
