MEMORANDUM OF UNDERSTANDING <br />BETWEEN <br />ALAMEDA COUNTY CONGESTION MANAGEMENT AGENCY <br />AND <br />CITY OF PLEASANTON <br />Relative to: <br />Construction of I-580 HOV Lanes: Tassajara Road to Vasco Road <br />This MEMORANDUM OF UNDERSTANDING ("MOU") is entered into as of December 6, 2007, <br />by and between the The City of Pleasanton, ("PLEASANTON"), a municipal corporation and <br />Alameda County Congestion Management Agency ("CMA"), a joint powers agency. <br />RECITALS <br />A. WHEREAS, PLEASANTON, as one of the members of the Tri Valley Transportation <br />Council ("TVTC") is a signatory to the Joint Exercise of Powers Agreement Pertaining to <br />the Tri-Valley Transportation Development Fee (TVTDF) for Traffic Mitigation; and <br />B. WHEREAS, the TVTDF fees are divided into the "Eighty Percent Fees" which are <br />allocated by TVTC to projects in the TVTDF Funding Plan, and the "Twenty Percent <br />Fees" a portion of which are available to PLEASANTON for allocation to projects at its <br />discretion; and <br />C. WHEREAS, the TVTC has identified the PROJECT (defined as the construction of I- <br />580 HOV Lanes between Tassajara Road and Vasco Road) as one of eleven projects <br />which it proposes to fund in part with the "Eighty Percent Fee" portion of the developer <br />fees; and <br />D. WHEREAS, the PROJECT is to be funded with $173.9 million in State Congestion <br />Management Improvement Account (CMIA) funds, $25 million in State Traffic <br />Congestion Relief Program (TCRP) funds, $17.7 million in State Transportation <br />Improvement (STIP) funds, $27 million in State SHOPP funds, $15.6 million in Federal <br />TEALU funds, and the balance in local contributions comprising MTC RM-2, TVTDF, <br />and Measure B funds from the Alameda County Transportation Improvement Authority <br />("ACTIA"); and <br />E. WHEREAS, the CMA is sponsoring the PROJECT as a series of staged corridor <br />improvements focused on the construction of HOV lanes on Interstate 580 in accordance <br />with the adopted 2004 TVTC Strategic Plan; and <br />F. WHEREAS, the CMA is sponsoring and anticipates obtaining environmental clearance for <br />the eastbound stage of the PROJECT in November 2007 and is currently proceeding with <br />
