REIMBURSEMENT AGREEMENT <br />THIS AGREEMENT is entered into at Pleasanton, California, this day <br />of c,+c,TOt3e~?, 1991, by and between the CITY OF PLEASANTON, a general law City <br />located in Alameda County, California ("City") and PACIFIC GAS AND ELECTRIC <br />COMPANY ("PG&E") with reference to the following facts. <br />A. PG&E is the owner of certain real property in the City of Pleasanton, <br />County of Alameda, State of California, commonly known as "Vineyard Substation," <br />APN 946-125-00090 (the "Property"). PG&E has obtained City approval of an <br />electric substation having a control building on the property. <br />B. In connection with construction described above, PG&E intends to <br />construct or cause to be constructed certain improvements to the Stanley Boulevard <br />right-of-way area which improvements will benefit the Property and other properties <br />more fully described below. <br />C. Pursuant to the Subdivision Map Act (California Government Code, <br />Sec. 66410 (et sea), PG&E is entitled to reimbursement for certain costs of the <br />improvements referred to above. City will inspect and accept said improvements and <br />is willing to administer the reimbursement of costs to PG&E as set forth herein. <br />NOW, THEREFORE, it is agreed as follows: <br />1. Improvements. <br />a. Certain construction work to be performed by PG&E, including <br />installation of a 12" water line along Stanley Boulevard, will benefit other properties <br />in addition to the Property. PG&E is entitled to recover some of the costs of such <br />construction work from other properties which benefit from these improvements. The <br />construction work to be performed by PG&E and included in the off-site improvements <br />eligible for reimbursement hereunder (collectively, the "Improvements") shall include <br />the work described on Exhibit "A" attached hereto which shall be performed at a cost <br />as shown thereon. <br />b. The reimbursement fee shall be based upon the actual construction <br />costs stated in Exhibit "A." PG&E shall submit actual costs of the construction work, <br />certified by an Accountant, to the City Engineer. <br />2. Ownership by City. <br />Ownership of said work shall vest in the City, with PG&E having the right <br />to connector right to use said improvements in accordance with City regulations, and <br />the right to reimbursement as provided below. <br />
