~~7 c~~ <br />SUBDIVISION AGREEMENT <br />TRACT NO. 7815, "THE ESTATES ON OAK RIDGE," PLEASANTON <br />ALAMEDA COUNTY, CALIFORNIA <br />THIS AGREEMENT made and entered at Pleasanton, California, this ~ ~` <br />day of March 2007, by and between THREEHAND L.P., a California limited partnership <br />(hereinafter referred to as "Subdivider") and the CITY OF PLEASANTON, a general law <br />city, located in Alameda County, California, acting through the City Manager and the <br />City Clerk (hereinafter referred to as "City"). <br />RECITALS <br />A. Subdivider has a tentative map for said Tract 7815, lying within the <br />boundaries of the City; duly approved by the Planning Commission or the City Council; <br />B. City adopted the Vineyard Corridor Specific Plan (the "Specific Plan") in <br />June 1998 to guide future development within the Specific Plan's boundaries, and a key <br />element of the Specific Plan is the Vineyard Hills Reservoir, a 1.4 million gallon, <br />partially buried, pre-stressed concrete reservoir (the "Water Tank"). <br />C. The Water Tank will be located on the southerly portion of a 20-acre <br />parcel owned by Threehand that is the subject of the referenced tentative map. This <br />Water Tank site (and related easements) will be granted to the City pursuant to a <br />Purchase and Sale Agreement between the City and Subdivider, dated January 25, 2005, <br />as amended by the First Amendment to Purchase and Sale Agreement approved by the <br />City Council on September 19, 2006 (collectively the "Purchase and Sale Agreement"). <br />D. Pursuant to the terms of the Purchase and Sale Agreement, the road to <br />access the Water Tank, as well as other improvements will be constructed to serve <br />Subdivider's new residential lots, as well as to serve the existing residence, as provided in <br />the Specific Plan, and to provide access for City personnel, contractors and agents to <br />access the Water Tank for construction, regular maintenance and operations. <br />E. After the City causes the Water Tank access road to be rough graded, as <br />further provided in the Purchase and Sale Agreement, Subdivider will arrange for the <br />construction of the improvements and related construction activities subject to the City <br />reimbursing Subdivider for certain costs associated therewith as described a separate <br />reimbursement agreement between the parties. <br />AGREEMENT <br />NOW, THEREFORE, in consideration of the faithful performance of the <br />promises, terms, conditions and covenants set forth herein by Subdivider and the <br />approval of the map for recording by the City, the parties hereto agree as follows: <br />SUBDIVISION AGREEMENT TRACT NO. 7815, "THE ESTATES ON OAK RIDGE " Page 1 of 9 <br />
