<br /> <br />REIMBURSEMENT AGREEMENT <br />THIS REIMBURSEMENT AGREEMENT is entered as of thisJ~ day of January, 1998 <br />by and between Security Capital Pacific Trust, a Maryland real estate investment trust ("SCPT") <br />and the City of Pleasanton, a municipal corporation ("City"). <br />RECITALS <br />A. Developer owns certain real property (the "Property") located in City of <br />Pleasanton more particularly described in Exhibit A, attached hereto and incorporated herein by <br />this reference. <br />B. City approved the application of SCPT for PUD plan approval of a 540 unit <br />apartment complex as filed under Case PUD 81-30-71D ("PUD"), subject to certain Conditions <br />of Approval as noted on Exhibit to Ordinance 1721. <br />C. Conditions Nos. 17 and 18 of .the PUD approval require SCPT to (i) build a <br />pedestrian bridge ("Bridge") across Tassajara Creek to connect the 6.6 acre park to the linear <br />park and (ii) install a pathway ("Bridge Pathway") to the western side of the Tassajara Creek. <br />In addition, plan check comments require Developer to build two paths ("Minor Pathways") <br />from the Property to connect with the linear park. <br />D. City and SCPT have determined that the City shall build the Bridge, the Minor <br />Pathways and the Pathway, and that SCPT shall reimburse City for the actual cost paid by City <br />for the Bridge, the Minor Pathways and Bridge Pathway subject to the terms and conditions <br />contained in this Agreement. City shall bid the cost of the Bridge, Bridge Pathway, and Minor <br />Pathways as part of the construction of the 6.6 acre neighborhood park ("Project"). <br />NOW THEREFORE, in consideration of the mutual promises expressed herein, City and <br />SCPT agree as follows: <br />1. Description of Bride and Pathway and Cost Estimates. The Bridge shall be a <br />100 foot by 8 foot galvanized steel bridge with concrete platform manufactured by Continental <br />Bridge substantially as shown in Exhibit B, attached hereto. The cost of the Bridge structure <br />shall be approximately Forty Thousand and No/100 Dollars ($40,000.00). The installation of <br />the Bridge, engineering (including field survey, project coordination; design, staking and <br />construction consultation), soils testing, and installation of abutments is estimated at <br />approximately Sixty-Seven Thousand and No/100 Dollars ($67,000.00). The Pathway shall be <br />approximately six (6) feet wide standard sidewalk and shall connect the Linear Park with the <br />Bridge. The Minor Pathways shall be as shown on Exhibit C attached hereto and are estimated <br />to cost approximately Two Thousand and No/100 Dollars ($2,000.00).
