~. <br />~., <br />SANTOS RANCH ROAD <br />SHARED MAINTENANCE AGREEMENT <br />THIS AGREEMENT is entered into this '~/ ~'- day of ~_~ 1999, by and <br />between Sheldon M. Berz, Anatol J. Jordan, Ajit Paul Singh Sandhu, Surinder Sandu, Geno P. <br />Tolari, Elaine D. Tolari, East Bay Regional Park District ("District"), City of Pleasanton ("City"), <br />(collectively referred to as "Property Owners"), Bay Area Cellular Telephone Company, a <br />California general partnership doing business as CellularOne ("CellularOne"), American Tower <br />Systems, a Delaware Limited Partnership, with ATSC GP Inc. as its sole general partner, Sprint <br />PCS (collectively referred to "Lessees"); collectively the Parties. <br />RECITALS <br />A. City, as successor in interest to the Pleasanton Township County Water District, is <br />the record owner of real property consisting of a 0.9 mile private road, commonly known as <br />Santos Ranch Road ("Road"), and as described more particularly in the attached Exhibit A, <br />which is incorporated herein by this reference. <br />B. Property Owners are record owners of real property having access to Road. <br />C. Lessees are lessees or licensees who utilize Road. <br />D. Parties desire to enter into an agreement to share maintenance costs related to the <br />Road, related weed abatement, adjacent storm drains, and gate with adjoining masonry walls, <br />lights and iron panels. <br />NOW, THEREFORE, in exchange for mutual consideration, the value of which is hereby <br />acknowledged, Parties agree as follows: <br />I. MAINTENANCE WORK <br />a. The Parties shall plan, maintain, repair, replace, finance, or participate in the <br />following: <br />1. Maintenance of the Road to keep the Road in good, safe, and passable <br />condition, based upon standards of a private road. Maintenance shall <br />occur from the base of the Road at the intersection with Foothill Road, 0.9 <br />miles to the terminus point of the Road. <br />2. Maintenance of all storm drains adjacent to and under the Road to ensure <br />that such storm drains are capable of having rainwater enter into the storm <br />drain and flow reasonably unimpeded into the City's storm water system. <br />Santos Ranch Road Maintenance Agreement <br />
