Recording requested by <br />and after recording return to: <br />Patrician Associates, Inc. <br />c/o Parkway Properties, Inc. <br />7011 Koll Center Parkway, Suite 210 <br />Pleasanton, CA 94566 <br />COST REIMBURSEMENT AGREEMENT <br />THIS AGREEMENT ("Agreement") is entered into thi~~ay of <br />2000, by and between the CITY OF PLEASANTON, a municipal corporation ("City") <br />PATRICIAN ASSOCIATES, INC., a California Corporation ("Developer"), and <br />PRINCIPAL DEVELOPMENT INVESTORS LLC, a Delaware Limited Liability <br />Company ("Owner"). <br />RECITALS <br />A. Developer was previously the owner of certain real property located in the <br />City of Pleasanton, County of Alameda, State of California, commonly known as 6700 <br />and 6800 Koll Center Parkway, consisting of approximately twelve and two-tenths (12.2) <br />acres in the Bernal Corporate Park ("Property"). <br />B. Developer conveyed the Property to Owner on July 1, 1999. <br />C. Pursuant to Planning Commission Resolution No. PC-97-33, dated Apri19, <br />1997, Developer has received design review approval to construct two office buildings, <br />each three stories in height, totaling approximately two hundred and twenty thousand <br />(220,000) square feet ("Project"). <br />D. In connection with the development of the Property, Developer and/or Owner <br />intends to construct or cause to be constructed improvements to the I-680 northbound off- <br />ramp at Bernal Avenue ,improvements to the I-680 northbound on-ramp at Bernal <br />Avenue, and a new signal at this intersection (collectively, "Improvements"), more fully <br />described in the attached Exhibit A, incorporated herein by this reference, that will <br />benefit the Property and other nearby properties more fully described below. The <br />Improvements will contain supplemental size and capacity in order to benefit the Project <br />and other anticipated development on nearby properties. <br />E. Pursuant to Condition No. 4.b. of the Conditions of Approval of PUD-80-02- <br />14D, attached to Planning Commission Resolution No. PC-97-33, dated April 9, 1997, <br />the Developer and/or Owner was required to construct the Improvements. Condition No. <br />4.b. further provides that reimbursement from other benefiting properties will be <br />provided to the Developer. <br />
